The court declared bankrupt the Russian "daughter" Honeywell

On August 28, 2023, the Moscow Arbitration Court (ASGM) declared bankrupt the Russian subsidiary of the American corporation Honeywell - LLC YUOP - under the simplified procedure of the liquidated debtor. The applicant in the case was Rosbank, the debt to which is 2.2 billion rubles.

Earlier in 2023, the Ninth Arbitration Court of Appeal agreed with the decision of the ASGM to recover 2.2 billion rubles from Yuop in favor of Rosbank. The courts found that in 2021 the company provided the parent structure with a loan of 2.3 billion rubles for a period of five years. This amount at that time amounted to almost half of the total assets of YUOP. In 2022, the company decided to cease operations in Russia, and then signed an additional agreement with Honeywell, which increased the loan repayment period to 50 years.

Rosbank objected: thus the loan actually became a gift without a real opportunity to get the money back. Under the contract, principal and interest at a rate of 3.375% per annum are returned simultaneously at the end of the loan term. This means that in 50 years the real value of the claim rights to Honeywell will amount to 52 million rubles (2.2% of the loan price at the moment), the bank said.

Also in this lawsuit, as an interim measure, the ASGM arrested money, movable and immovable property "YUOP" and the right to claim it within 2.25 billion rubles. The company and the parent structure were banned from amending the loan agreement. The court supported Rosbank's arguments that YUOP is not going to fulfill previously concluded contracts and the court's decision, since it stopped working in Russia and can now hide property.

We are talking about a 5-year loan that YUOP LLC issued to its parent structure in June 2021. After Honeywell International announced the termination of its activities in Russia in the spring of 2022, an agreement was signed between the parties that increased the loan repayment period to 50 years.[1]

On May 16, 2023, it became known that the court refused to initiate bankruptcy proceedings against the Russian representative office of Honeywell, an American corporation specializing in the production of electronic control and automation systems.

According to CNews, Honewell JSC was in an extremely deplorable financial situation. After the curtailment of Honeywell's activities on the Russian market, over 150 lawsuits were filed against the Russian structure of the company due to the formed geopolitical situation. Claims were made by Kaspersky Lab, the Kvant certification center, the Moskabel plant, the International Trade Center, the East Siberian Oil and Gas Company, the Rosgosstrakh Life insurance company and dozens of other organizations.

On October 20, 2022, the research and production company (NPF) Special Industrial Technologies filed a bankruptcy lawsuit against Honewell JSC. However, the court concluded that the property available to the debtor (taking into account the planned proceeds) is not enough to carry out the costs of the case, in particular, to cover legal costs and pay remuneration to the arbitration manager. It is said that in the documents provided by the initiators of the proceedings there is no evidence that Honewell JSC has property sufficient to reimburse expenses for the bankruptcy procedure. But in general, the consideration of the case is not completed. It is possible that one of the creditors will want to take all possible legal costs on themselves.[2]
