Three patents and 37 scientific papers by Inoventica

Payment of dividends to the sole shareholder of CJSC Communications for Innovation

At the regular meeting of the Board of Directors of Communications for Innovation, a positive decision was made on the issue of recommendations to the sole shareholder of the company on the amount of dividends based on the results of the work for the half of 2017, as well as on the procedure for their payment and setting the date on which the persons entitled to receive dividends are determined.

Purchasing Servers to Build Gaming Platforms

As part of the strategy to enter the Latin American market, Inoventica Group signed a memorandum of intent with SOFTEL, the IT company of the Republic of Cuba, at the beginning of the year.

During the official visit of the Cuban delegation to Moscow, headed by the Director of Foreign Trade of the group of companies owned by the Ministry of Informatics and Communications of the Republic of Cuba, as well as with the participation of representatives of SOFTEL, negotiations were held with Inoventica regarding the development of mutually beneficial cooperation on information security issues.

At a regular meeting of the Board of Directors of Communications for Innovation CJSC, which took place on December 15, 2016, it was decided to acquire 10% of the authorized capital (100 thousand shares) of Communications for Innovation CJSC from the sole shareholder of Regional Initiative CJSC.

On December 19, 2016, based on the approved report on the results of the shareholder's submission of an application for the sale of shares owned by him, an agreement was concluded on the acquisition of shares in the balance sheet of Communications for Innovation.

The decision to acquire 10% of its own shares by the parent company Inoventica was made as part of the internal debt management program.

2016

Revenue falls 23%

The total unconsolidated revenue of the Innoventica Group for 2016 amounted to just under 400 million rubles. EBITDA was about 20% of revenue. The net profit of the Inoventica Group at the moment remained near zero. The planned decrease in the Group's revenue in 2016 amounted to 23% compared to this indicator in 2015. This is due to the further consolidation of the telecom market and a one-time effect of changing the payment scheme for services in favor of customers.

  • The only shareholder of Communications for Innovation CJSC was paid interim dividends in the amount of more than 60 million rubles.
  • The cost of Inoventica Group's assets commissioned in the reporting period increased by 1.2% to RUB 798 million at cost.

Inoventica's positive net debt exceeded 100 million rubles

As a result of the early repayment of the last intra-group obligation, the net debt of the parent company of the Inoventica Group, Communications for Innovation CJSC (KDI), reached a positive value exceeding 100 million rubles.

KDI expects these obligations to be repaid in tranches during 2017 and 2018. After receipt, these funds will be used partially to pay shareholders, and mainly to finance promising innovative programs for the development of the company, which include gaming platforms and the Internet of Things.

Also, significant funds are planned to be spent on the development of the most dynamically developing of the existing areas of the Group - the system of protection against DoS and DDoS attacks.

Startobaza left Inoventica

In the summer of 2016, Startobaza Investment Company completed its participation in the parent company of the Inoventica Group, Communications for Innovation CJSC, which lasted four and a half years from September 2011 to March 2016.

The management company "Startobaza" sold 5% of the shares of CJSC "Communications for Innovation" to the majority shareholder of JSC "Regional Initiative." The share of the second at the same time increased from 63.3% to 68.3%.

As a result of the transaction with the Regional Initiative, Startobaza recorded a profit of about 100% of the originally invested capital. 2015

KDI revenue 517 million rubles

At the end of 2015, the revenue of KDI (the parent company of the group) amounted to 517 million rubles, EBITDA - 206 million rubles, net profit - 92 million rubles. Dividends for 9 months of 2015 amounted to 15 million rubles.

The company reported that the total unconsolidated revenue of the Inoventica group for 2015 amounted to 517 million rubles, showing an increase of more than 13% compared to the same indicator in 2014.

On the issue of distribution of profit and losses of the company according to the results of 2015 of the reporting year, by a majority vote, it was decided to send part of the net profit in the amount of 63 million rubles remaining after the payment of dividends to the further development of the company. The drivers of the group's development in 2015 were the infrastructure direction (transport ICT infrastructure for hybrid "clouds" of customers) and information security (protection against DDoS attacks).

The increase in revenue in the infrastructure area by 8% compared to the same indicator in 2014 (the share in the group's revenue was 78%) was due to the signing of a number of large contracts with federal and interregional telecom operators, the group noted.

In the service area (the share in the group's revenue amounted to 16%), income stability is supported by the implementation of large projects in the B2G, B2B segments, including projects with the Ministry of Finance of the Russian Federation, Bars Group, the Russian Fund for Technological Development, and Sberbank Life Insurance.

A significant event in 2015 was the achievement by the company "Inoventica Technologies" of an eightfold increase in revenue compared to 2014, which at the end of the reporting period amounted to p31 million, indicated in Inoventica. In the second half of 2014, more than 30 installations of the movGuard system were made for testing or commercial operation in Russia and the customs union countries.
