Angstrom is one of the leading enterprises of Russian microelectronics, being among the leaders in the production of electronic component base. NPO Angstrem

In early 2011, ex-adviser to President Dmitry Medvedev and ex-Minister of Communications Leonid Reiman became one of the shareholders of the scientific and production association (NGO) Angstrom, Reiman himself told CNews on June 8, 2011. NPO Angstrom, in turn, is one of the co-owners of the Angstrom group, which includes microelectronic assets in Zelenograd.

CNews wrote that structures close to Leonid Reiman gained control of Angstrom on the basis of available documents back in 2009. However, this information was not officially confirmed until June 8, 2011.

Earlier, the ex-head of Mezhprombank Sergei Veremeenko called himself the owner of Angstrom, but then the company went to Eventis Telecom Holdings (ETH), which was associated at that time with the so-called "St. Petersburg group of signalmen."

Technologies

The company has an advanced industrial and technological base in Russia, which allows you to design and produce ICs with minimum topological standards from 1 μm to 0.18 μm in a wide range of technologies (CMOS, BiCMOS, power electronics components). Domestic design rules and libraries compatible with the technological environments of world Foundry companies have been developed.

The enterprise is developing and mastering such SBISs as large-capacity memory (ROM, Flash, EEPROM), microcontrollers (the latter mainly in Foundry mode), BMK, ADC, multiplexers for photodetector devices, etc.

The company is one of the leading enterprises of the Russian microelectronics, being among the leaders in the development and development of CMOS SBIS on heteroepitaxial structures (CMOS KNS), multiplexers for FPU, power electronics.

Performance indicators

2018: Revenue - 2.76 billion rubles (+ 10.9%), net loss - 478.1 million rubles

On July 4, 2019, CNews reported that Angstrom had posted negative net income for the first time in four years. This follows from the comparison of the reporting documents of the Zelenograd manufacturer of integrated circuits and semiconductor devices of different years. As reported, the previous three years, Angstrom showed profit: in 2015 at the level of 102.8 million rubles. (the maximum value over the past 10 years), in 2016 - 10.6 million rubles, in 2017 - 2.7 million rubles.

In addition to 2018, Angstrom slipped into losses three more times over the past decade, showing a negative balance of 24.5 million rubles in 2009, 704.5 million rubles in 2013, and 1.65 billion rubles in 2014.

As for revenue, in 2018 its volume due to the production of products with R&D amounted to 2.76 billion rubles, which is 10.9% more than in 2017. At the same time, revenue from the production of products alone for the reporting period amounted to 2.17 billion rubles. The growth compared to 2017 was more than 168%. Of a similar nature, the company's revenue in the domestic market amounted to 1.86 billion rubles. - more than in 2017, by 37.5%.

The reasons for their losses in Angstrom are not explained, but they dwell in detail in the report on the factors of revenue growth. Among the reasons for the increase in sales are the facts of work to reduce the delivery time, create insurance stocks of the most popular product range, as well as conduct a set of marketing activities with existing and potential consumers.

Among the other reasons are the supply of products in the interests of the GLONASS project and the development of products, including power supervisors, comparators, integrated circuits of standard logic, analog-to-digital converters, operational amplifiers, smart power keys, diodes and IGBT transistors and several others - "within the framework of the import substitution program."

The share of new products in the volume of sales of Angstrom increased from 14.4% in 2017 to 18.9% in 2018. During the reporting period, the company produced 2.17 million microchips and 24.1 thousand plates.

In 2018, the share of products with military acceptance in the volume of sales of Angstrom to the domestic market amounted to 96.6%. In 2017, this indicator was at the level of 95.5%, in 2016 - 82.7%. In reports from earlier periods, Angstrom did not segment products in this vein.

Taking into account the indicated plans of the country's leadership in the report for 2017, Angstrom indicated that it was going to bring the share of civilian products (with the acceptance of QCD - technical control department) to 40% by 2020, and to 70% by 2025.

At the end of 2018, Angstrom's plans became more modest: 17% of the "citizen" in 2020, 30% by 2025.

Compared to 2017, Angstrom's exports in 2018 increased by 70%. Its absolute values ​ ​ are not given in the report, but a year earlier in a similar document for 2017 it was indicated that the volume of export sales amounted to 66.2 million rubles. excluding VAT with a drop of 21% by 2016 - "taking into account export products sold on the domestic market.

The growth in exports to the company is associated with an increase in the volume of sales of power management chips, as well as with the beginning of mass deliveries of power electronics products to the foreign market. 2016

Bankrupt bank "terrorizes" Angstrom

Despite the fact that the commercial bank BFG-Credit lost its license back in 2016, was declared bankrupt, its legal entity is liquidated and the domain is for sale, multimillion-dollar debt obligations to it create new problems for the microelectronic enterprise Angstrom. In September 2017, the company lost its appeal in the case of recovering 709.8 million rubles from it. In August 2017, debts led to another lawsuit - for 170.5 million rubles[3].

The first of the mentioned claims for 709.8 million rubles. was filed with the Moscow Arbitration Court on behalf of the bank, but in the person of the bankruptcy trustee in the bankruptcy case - the Deposit Insurance Agency - on December 9, 2016. Following the results of the proceedings on July 3, 2017, the complaints were partially satisfied. The court decided to recover from Angstrom debts under the loan agreement dated July 18, 2013 in the amount of 117.3 million rubles, under the loan agreement dated February 24, 2015 in the amount of 10.6 million rubles and under the loan agreement dated August 21, 2013 in the amount of 89.1 million rubles.

In addition, under the same agreements, the ministers of the law obliged Angstrom to sell the pledged property with initial lot amounts of 98.2 million rubles, 80 million rubles. and 115.8 million rubles. In the latter case, you will have to sell some finished products, designated as "crystals." Thus, the total financial burden on the company following the results of this trial can be estimated at 511 million rubles.

The essence of the claims on the second (August) claim for 170 million rubles. in public access has not yet been presented. The press service of Angstrom declined to comment on them. The next court session will be held on November 23, 2017.

OJSC Angstrom restructured the debt and received a new credit line for 1.3 billion rubles.

Bank Zenit and OJSC Angstrem closed a deal in early 2016 to restructure the company's debt and open a new credit line for more than 1, 3 billion rubles. This allowed Angstrom to combine all financial obligations in one bank, reduce the burden on their maintenance and focus on production activities.

Bank Zenit offered Angstrom OJSC favorable conditions on a long-term basis. As a result of the transaction, all previous loans to the company were refinanced. Also, more comfortable conditions for the maturity of debt obligations and a decrease in the burden of servicing them were obtained. Under the new five-year agreement, the company received an annual reprieve to pay part of the principal.

According to Konstantin Nosov, General Director of Angstrom OJSC, the company plans to strengthen the development and development of microelectronic products: "We have big plans, both to create new production lines and to update the product range. A whole series of chips for automotive electronics, the electric power industry, as well as radio identification tools (RFID) are in development. On the Russian market now these products are represented only by foreign manufacturers. "

2015

NGO Angstrom gains control over STC IT ROSA

At the end of July 2015, it became known that the manufacturer of microelectronics NPO Angstrom, owned (by 99.95%) by former Minister of Communications Leonid Reiman, will receive control over the developer of free softwareNTC IT ROSA. This was announced to Vedomosti by the general director of Angstrem Alexei Bocharov and confirmed by the general director of the STC IT ROSA Arkady Tagiyev[4].

Talking about layoffs in STC IT ROSA, Bocharov did not rule out "possible optimization of the company." The deal is now being structured, it will take more than a month, says Bocharov. Neither he nor Tagiyev disclosed its amount to Vedomosti.

2014: Plans to launch 130nm chip production line

In addition to a 31% stake in Angstrom OJSC, Roselectronics owns 25% in the Angstrom-T investment project, which in 2007 bought AMD equipment for the production of 130 nm chips at a new plant in Zelenograd for 339 million euros. In April 2008, Vnesheconombank opened a credit line for 815 million euros to develop this production, but in 2009 it froze it.

Initially, it was assumed that the line would be launched in 2008, then its launch date was shifted to 2011 and 2014. As of May 2014, according to the representative of Angstrom Mikhail Feldman, the production of plates is planned to begin in the first quarter of 2015, and at the end of the second quarter it is expected to reach its design capacity - 15 thousand plates per month. The test run of the line, during which the equipment will be adjusted and adjusted (but not the production of plates), will take place in the third quarter of 2014.

Speaking about the attitude to the Angstrom-T project in May 2014, Andrei Zverev, the head of Roselectronics, recalls how this company turned to Roselectronics with a proposal to use its future facilities. "We were interested not only in their technical capabilities, but also in how much it would cost," he says. - We have not received an answer for quite a long time. Everyone is waiting, maybe they will answer. "

Interestingly, the management of Angstrom-T could not recall the request from Roselectronics. "There was no such request for price from Roselectronics - after all, if we are talking about the manufacture of microcircuits, then you need to understand which products are needed, by what parameters, what technologies, volumes," Mikhail Feldman told CNews. Representatives of Roselectronics, in turn, refused to specify the nomenclature of chips, which was discussed in the request of Angstrom-T.

However, says Andrei Zverev, "we do not have any painful reaction to them. If comrades launch and produce something acceptable in quality and price, we will gladly buy from them[5]

2013

Revenue - 2.1 billion rubles (-31%)

In 2013, the company's financial performance also deteriorated. The revenue of Angstrom OJSC for the year fell by 31% to 2.1 billion rubles, a net loss of 704 million rubles. In this regard, the company finances its activities from the retained earnings of previous years (amounted to 380 million rubles).

The number of Angstrom employees decreased by 560 people

OJSC Angstrom, the parent company of the Zelenograd microelectronic holding Angstrom, has reduced the number of personnel. According to the report of the company for 2013, at the end of 2012, Angstrom employed 1.89 thousand people, and at the end of 2013 - 1.33 thousand[6].

That is, 560 jobs were cut, which is 30% of their total. The staff turnover rate increased over the year from 21% to 38%. Meanwhile, in previous years, Angstrom, on the contrary, increased the number of employees. In particular, 600 new employees joined the company in 2012. The influx of personnel then amounted to 36%, the total number of personnel increased by 16%.

Employees at Angstrom were recruited in connection with the expansion of research and development work. In particular, the company concluded a number of major contracts with the Ministry of Defense, including entering a new region for itself - military communications.

2012

Revenue growth by 1.5 times to 3.06 billion rubles

In 2012, Angstrom's revenue increased one and a half times to 3.06 billion rubles, net profit amounted to 61 million rubles.

Angstrom Group buys Angstrom-T. Major contracts with the Ministry of Defense

In October 2012, it became known that the Federal Antimonopoly Service approved the petition of Angstrom Group LLC to acquire a 100% stake in Angstrom-T. The Angstrom Group is owned by former Communications Minister Leonid Reiman. Angstrom-T is part of the Angstrom Zelenograd microelectronic holding and, with state support, is implementing an ambitious project to create production using 110-130 nm technology.

The ex-minister himself confirmed to CNews the intention to make this deal. "I am buying out Angstrom-T to Angstrom Group in order to consolidate assets," Reiman said.

In 2010, VEB announced its intention to stop servicing the loan and take away the property pledged by Angstrem-T. However, AMD equipment, contrary to the terms of the contract, was not pledged to the bank. Due to the unavailability of production sites, it was never brought to Russia and is still in warehouses in Holland. For this reason, the equipment is not the property of Angstrom-T, but of Runica, which does not appear in the loan agreement. But in 2011, the parties agreed to renew the loan, after which Runica nevertheless transferred the equipment to VEB.

The question of who is behind Runica Investments remains open. In 2008, the offshore company was created by Grigory Tsuprik, a member of the board of directors of Angstrem-T. Former general director of the enterprise Grigory Brovman said that Tsuprik was first Veremeenko's man, and then moved to the team of "St. Petersburg signalmen." Now Tsuprik no longer works at Angstrom, but Brovman is sure that he was the nominal holder of Runica in favor of St. Petersburg.

In favor of this version, the facts say that Angstrom-T at the operational level continued to be part of the Angstrom holding, and Anton Alekseev became the general director of the enterprise in 2011. At the time when Reiman was the chairman of the board of directors of the state holding Svyazinvest, Alekseev headed the Dalsvyaz company, which was part of the holding. However, Reiman assured that he had nothing to do with Runica Investments.

In other enterprises of the Angstrom holding, Reiman, by his own admission, owns various stakes. Through the Angstrom Group, the ex-minister owns the NPO Angstrom telecommunications equipment manufacturer created in 2011 and the JV Angstrom company. In addition, as of the beginning of 2012, Reiman, through Angstrom Group, owns 25% of shares in Angstrom and Angstrom-M[7]

  • In October 2012, it became known that IBM Corporation entered into an agreement with the Zelenograd enterprises NPO Angstrom and Angstrom-T to license the technology for the production of integrated circuits with topological norms of 90 nm[8].

Using this technology, Angstrom plans to launch the production of chips and sensors for promotion in the industrial and consumer segments, the parties said.

In addition to the license to use the technology, Angstrom will receive from IBM the design rules necessary to organize contract production, and will be able to offer Smart Foundry services to Russian and foreign customers.

Financing of the acquisition and installation of technology at the Angstrem-T microelectronic plant under construction in Zelenograd is carried out by Vnesheconombank (VEB). The parties did not disclose the amount of the transaction.

IBM itself at that moment already had 32nm technology. In particular, Power7 + processors were released on its basis, which are equipped with Power 770 and 780 servers.

The equipment on which the 90nm chips will be produced was previously purchased by Angstrom from AMD. In the current configuration, it is intended for the release of microcircuits with a topology of 110-130 nm. To organize the production of 90-nm products, according to the representative of Angstrom Alexei Dianov, you need to buy several more pieces of equipment.

As of October 2012, Angstrom equipment purchased from AMD is stored in a warehouse in Holland. It will be imported to Russia after the creation of the necessary infrastructure and clean rooms is completed at Angstrom-T. According to Dianov's estimates, this will happen by the end of 2013, and the launch of production may take place in the first half of 2014, subject to the schedule of financing from VEB.

At this point, Angstrom-T is in the process of being acquired by ex-Minister of Communications of Russia Leonid Reiman, who is already a shareholder in a number of enterprises of the Angstrom holding. Among them are an old Soviet factory, a factory for the production of telecom equipment and a design center.

Another Zelenograd plant - Micron, owned by AFK Sistema - launched the production of 90nm chips in 2012. The first microcircuits released using this technology were delivered to computing and telecommunications systems for the aerospace industry, company representatives said.

  • In November 2012, it became known that Angstrom has a large contract with the Ministry of Defense for development work (ROC) under the code "Unification." Under the contract, Angstrom will receive 3.8 billion rubles. The contract was concluded in the spring of 2012 for a period of 3 years. The contract amount is 130% of the net asset value of OJSC Angstrema (2.9 billion rubles) and almost twice the company's revenue for the past year (2 billion rubles).

Angstrom refused to explain the essence of the contract, referring to the Law on Official Secrets. A market source says that we are talking about a contract for the creation of a new generation of Azart-P1 walkie-talkies for the defense department and mini-PBXs serving them. The production of the latter is organized together with Chinese Huawei. The joint venture "Angstrom" with a partner from China officially began working in 2011. The very first working copies of radio stations with support for various communication channels (satellite, cellular communications, FM radio and digital TV) have already been created and demonstrated to President Vladimir Putin.

In 2011, Angstrom was close to receiving an even more expensive order from the Ministry of Defense: simultaneously with the Unification cipher agreement, the company's shareholders approved a contract for conducting OCD using the Bulat cipher. The value of the contract was supposed to be 9.8 billion rubles, the execution time - 3-3.5 years. But judging by the absence of this agreement in the annual report of Angstrom OJSC, it was never concluded. However, Angstrom has other large contracts with the defense department.

Thus, for the creation of communication repeaters of the combined automated digital communication system on flight lifting equipment (the Retronslator cipher), the Zelenograd enterprise will receive 1.6 billion rubles from the Ministry of Defense. The bank guarantee for the execution of the contract to the Ministry of Defense was provided by the Khanty-Mansiysk Bank, to which Angstrom, in turn, pledged its own production buildings and land. Angstrom is also working on the development of an electronic certificate for a serviceman, the cost of the contract, according to the interlocutor of CNews, is 1.3 billion rubles.

"Angstrom owes a
set of expensive contracts with the Ministry of Defense to the personal connections of its main owner Leonid Reiman with ex-Defense Minister Anatoly Serdyukov," says a source among the company's shareholders. - Moreover, Angstrom even managed to enter the sphere of production of military communications, which was considered the patrimony of such giants as the Vega concern[9].

Reiman and Serdyukov formed good relations, according to the interlocutor of CNews, back in the period when the first was the Minister of Communications, and the second headed the Federal Tax Service. We also note that now Angstrom is actively cooperating with the Voluntary Society for Assistance to the Army, Aviation and Navy (DOSAAF).

In this regard, the recent resignation of Serdyukov may call into question the further prospects of Angstrom, although experts have no unequivocal opinion on this matter. "According to one version, the resignation of the head of the Ministry of Defense was initiated by the head of the presidential administration, Sergei Ivanov," says the source of CNews. "If we recall that Ivanov, when he was Minister of Defense and Deputy Prime Minister, worked in the same government as Reiman, then Angstrom should not have problems with defense orders."

The representative of Angstrom Alexei Diavnov sees no problems to continue cooperation between the enterprise and the Ministry of Defense. "Dozens of scientific institutions are involved in the implementation of our projects, including those belonging to the structures of the Ministry of Defense, hundreds of enterprises of the military-industrial complex (MIC) and the space industry," says Dianov. - The results of our activities are sent not to the heads of departments, but to the armed forces, to the enterprises of the military-industrial complex, space and nuclear industries. Therefore, a change in the leadership of any department cannot affect our fulfillment of the most important tasks related to ensuring the defense capability and technological independence of Russia. "

2011

Revenue - RUB 1.98 billion

OJSC Angstrom disclosed revenue at the end of 2011. Then the company announced its growth compared to 2010 by more than 30%: from 1.53 billion rubles to 1.98 billion rubles. Sales of products produced by the company contributed 808 million rubles to the revenue structure, development work (OCD) - 1.09 billion rubles. The receipt of funds from the main activities of Angstrom amounted to 2.3 billion rubles, and the total amount of funds received by the company exceeded 3 billion rubles.

The receipt of funds for scientific and technical products in 2011 almost doubled compared to 2010, reaching RUB 1.093 billion. Angstrom took part in open and closed competitions held by the Ministry of Industry and Trade of Russia, the state corporation Rosatom and Roscosmos, as a result of which 18 state contracts for the implementation of ROC and 4 contracts for the implementation of components of ROC were concluded.

Moving AMD Hardware Launch Plans to 2014

Earlier, Angstrom planned to launch a line based on AMD equipment for the production of chips using 130 nm technology by the end of 2009. Then the deadline was postponed to 2011. According to current plans, production will appear by 2014, says Alexei Tabolkin, president of Angstrom NGO.

In addition, by 2014, Angstrom, according to Tabolkin, should have a new line for the production of "extreme" microelectronics (protected from radiation) in a 250 nm topology.

Huawei Equipment Manufacturing Agreement

On June 8, 2011, President of NGO Angstrom Alexei Tabolkin, in the presence of Leonid Reiman, signed an agreement with the general director of the Russian representative office of Huawei, Wang Kexiang, on organizing a contract production of Chinese equipment in Zelenograd. To do this, in the 4th quarter of 2011, another site with a capacity of 10 thousand products per year should be launched. Angstrom plans to produce operator equipment: LTE base stations, routers, switches, equipment for channel compaction in optical networks (DWDM), etc. Huawei will receive royalties from product sales.

On the part of Angstrom, investments in the project will amount to 400 million rubles in 2011, its representatives say. In the future, according to Tabolkin, the company plans to produce equipment under its own brand.

Angstrom did not receive exclusive rights to sell Huawei equipment, the Chinese company is also negotiating with other potential partners in Russia, Huawei spokesman Alexander Bogdanov told CNews. The vendor expects to receive the status of trusted equipment by passing certification from the FSB in the 4th quarter of 2011.

2009: The company as a pledge passes to VEB

In 2009, CNews released a video of a conversation between the then general director of Angstrom-T (one of the group's structures) Anatoly Sukhoparov and the group's adviser Grigory Brovman, in which they admitted that without lobbying efforts, the "ministry" could not get a loan from Vnesheconombank (VEB), as well as a number of large government orders.

In September 2009, it became known that the investment company Renaissance"," as Jurgens said, had to pay 103.6 million rubles for a stake in Angstrom. Aton is ready to pay about the same amount, says a source close to one of the likely buyers. A source close to one of the parties to the deal suggests that Aton could complete the purchase within two weeks.

The deal with Renaissance was upset after the intervention of Svyazinvest, said several sources close to its participants and the state holding. In July 2009, Svyazinvest held a competition among investment companies to choose consultants for the reorganization. Renaissance also participated in it. The mandate has not yet been signed with anyone, says a manager close to Svyazinvest. But representatives of Svyazinvest notified Renaissance that they would consider his cooperation with Angstrom as a violation of their interests, says a source close to the buyers of Angstrom. Svyazinvest asked Renaissance to guarantee the transparency of the transaction with Angstrom shares and the fact that it would not harm Svyazinvest's reputation, said Renaissance partner. Otherwise, the state holding refused to sign an agreement with Renaissance.

The shares of Angstrom and Angstrom-M put up for sale belong to Koal Trade and Contract Finance Groups.

2007-2008: Veremeenko's shares passed to Reiman

After that, the state-owned Bank for Development and Foreign Economic Activity (VEB), under government guarantees, approved the opening of a credit line for Angstrem-T in the amount of up to 815 million euros. Of these, the company managed to receive 290 million euros, for which, in particular, equipment for new production was purchased from the German factory AMD. Angstrom acquired from AMD a microchip factory of 0.13-0.11 mk in German Dresden for $462 million to create chip production using 130 nanometer technology. The plant in Russia will start working in 2011, promised the manager of Angstrom.

True, the purchaser of the equipment was not Angstrom-T itself, but the Cypriot offshore company Runica Investments. Moreover, the same offshore company became the sole shareholder of Angstrom-T. The project itself stalled.

Also, the group of companies needs another $270 million - to create the production of more miniature chips measuring 90 nanometers. Angstrom has applied to Rusnano to finance this project.

In June 2008, the application was approved by the Rusnano scientific and technical council, but in parallel, the last instance of Rusnano, the supervisory board, approved the allocation of funds to Sitronics, which also decided to build a plant of 90-nanometer microprocessors.

At the end of 2008, Angstrem-T showed the following results (RAS):

  • revenue - 1.06 billion rubles,
  • net loss - 125.1 million rubles.

2004: Veremeenko gets 50%

The main enterprises of the Angstrom holding are OJSC Angstrom and the Angstrom-M design center. In 2004, entrepreneur Sergei Veremeenko consolidated a 50% stake in these companies. At that time, both companies together owned less than 50% in Angstrem-T LLC, on the balance sheet of which there were mothballed production areas ("clean building") for the production of promising microelectronic products. Veremeenko withdrew the assets of Angstrom-T LLC to a clone - Angstrom-T OJSC, whose shares were fully distributed between Angstrom OJSC and Angstrom-M.
