Association with Awara IT Russia under the Wone IT brand
Awara IT Russia and SoftwareONE Russia announced the creation of a joint multi-platform IT company of the full cycle. The newly formed Wone IT company will ensure uninterrupted operation of customers in the context of constant global changes and will offer comprehensive strategies for the formation of the IT landscape, which will help companies to work productively in the Russian market. This was announced on May 16, 2022 by representatives of SoftwareONE.
SoftwareONE AG has decided to leave the Russian market. The agreement on the transfer of Russian assets of SoftwareONE to the Awara IT group of companies was signed in early May 2022. The consolidated company Wone IT will combine expertise in the implementation, localization and support of complex business applications, which is possessed by Awara IT, as well as the experience and wide portfolio of SoftwareONE partner contracts with international and Russian vendors. It is assumed that Wone IT will become a next-generation technology partner for clients, offering a full range of services: consulting, selection of optimal vendors, implementation, integration and multi-level technical support.
As representatives of Awara IT Russia and SoftwareONE Russia specified to TAdviser, the owners of WONE IT are private investors, namely, the majority founders of Avara Ai Ti Solutions LLC. According to the Unified State Register of Legal Entities, as of May 2022, they were: Yuri Alekseevich Shumakov (with a share of 30%) and Alexander Vladimirovich Ermakov (56%). Their shares in the consolidated company Wone IT are 40% and 60%, respectively.

Awara IT and SoftwareONE link the long history of joint projects. Thanks to the merger of the Russian divisions of the two partners, a full-cycle multi-vendor IT company will be formed, which combines 17 years of experience in implementing business applications of any complexity and expertise in the field of IT consulting, covering the solutions of hundreds of IT vendors, including Microsoft, Yandex.Cloud, Kaspersky, etc.
The team of the combined company can implement digital transformation projects for small, medium and large customers from dozens of industries, has experience in automating business processes and conducting IT audits. Wone IT also provides the right level of customer support, advises customers on the optimal use of existing software and the purchase of new products.
According to the parties, the process of combining Awara IT Russia and SoftwareONE Russia will last for two months. Contracts with current customers will remain valid. All Russian customers will receive an official letter from the company within 14 days from the date of signing the deal agreement.

Joining Comparex to SoftwareONE and rebranding

2018
Association of "Avara Ai Ti Solutions" with Mindcore
In November, system integrators Awara IT and Mindcore announced the start of the merger process. From December 1, 2018, companies of the year will provide IT consulting services for Russian and foreign clients under a single brand - Awara IT.
TAdviser's questions about the structure and commercial side of the deal were not answered by Awara IT and Mindcore, noting that its legal aspects would be settled before the end of the year. By the same time, the position of Mindcore CEO Denis Ivanov in the combined structure should also be agreed.
In the Unified State Register of Legal Entities as of mid-November, the beginning of the merger has not yet been reflected. As before, at that time Denis Ivanov is listed as the founder of Mindcore.
At the time of the deal, Awara IT employs more than 60 specialists. Mindcore employs 15 people, mainly specialists in Microsoft Dynamics NAV, Denis Ivanov told TAdviser. According to the Kontur.Fokus database, the revenues of Avara Ai Ti Solutions LLC in 2017 amounted to 117.5 million rubles, Mindcore revenue - 19.5 million rubles.
By the time of the merger, Awara IT and Mindcore had been introducing Microsoft Dynamics in Russia and the CIS for more than 10 years and had repeatedly participated in joint projects. SoftwareONE bought Comparex
On October 9, 2018, the merger of SoftwareONE and Comparex was announced, which will create a combined company that will manage sales of software licenses worth 10 billion euros.
Under the terms of the agreement, SoftwareONE buys 100% of Comparex from IT company Raiffeisen Informatik, part of the Austrian banking group Raiffeisen. The financial component of the transaction was not disclosed, but it is known that KKR provided investment support to SoftwareONE.
Comparex CEO Thomas Reich and Sales Director Marc Betgem will be part of the management team at SoftwareONE. The combined company will have 5,500 employees working in 200 offices in 88 countries.
