Agreement with Software AG on Terracotta acquisition

On June 7, 2011 Software AG announced the conclusion of the final agreement about Terracotta acquisition. This M&A-сделка will allow Software AG to propose the innovative cloud solutions and to considerably increase performance and scalability of the Business Process Excellence platform. The product portfolio of Terracotta includes ultramodern resident technologies and de facto serves as the standard of caching of corporate Java applications.

The belonging Terracotta of technology of processing in RAM will become a basis for cloud solutions of Software AG. As the data access in RAM is provided up to 1000 times quicker, than to data in a DB, Software AG will be able to increase sales to the existing and perspective customers, offering more large-scale projects of improvement of business processes using processing of difficult events, mobile technologies, cloud distribution and virtualization. Terracotta acquisition also expands possibilities of a business model of Software AG, adding large, active community of the developers using an open source code.

The transaction will strengthen leadership of Software AG in the market of improvement of business processes (BPE). Integration of technology of resident storage and processing of Terracotta with products of Software AG will provide the last higher scalability and will allow to apply more widely them in the most difficult applied conditions. From now on at the disposal of our customers there is a most perfect of available technological solutions for the effective analysis of large amounts of data. Besides, our solutions provide the major business information and analytics in real time and big completeness of control over business processes and transactions.

An opportunity to scale processing of large amounts of data by means of flexible, modular, geographical distributed architectures will also promote transition to cloud computing and in the medium term will turn Software AG into full-fledged provider of services Platform-as-a-Service (PaaS). Terracotta technologies allow to store and process up to one terabyte of data in RAM. It will provide unprecedented performance improvement and scalabilities of applications and systems for clients of Software AG.

The first integrated products of Software AG and Terracotta should appear in the fourth quarter 2011. Start of the cloud-based PaaS-offer of Software AG will take place in 2012. The transaction is approved by the supervisory board of Software AG, has usual conditions of end, including permissions of regulating authorities, and should be complete by June, 2011.

The number of the implemented copies of open solutions of Terracotta exceeds 500 thousand.

For May, 2011 in Terracotta development centers in San Francisco and New Delhi 55 employees work. Terracotta created some of the most known products for scaling, increase in availability and performance of software; the number of the implemented copies of its solutions with the open code exceeds 500 thousand, including customers from the list of Fortune companies 2000.
