Philip Gens share increase to 100%

Philip Gens increased his stake to 100% in the authorized capital of Konsist LLC, the parent company of the domestic consulting group Consyst Business Group. Thus, the LANIT group strengthens its position in the development of its own IT products. LANIT announced this on November 18, 2020.

For more than five years, the structures of the LANIT Group and Group of company Systematica (Systematics Group JSC) have jointly owned equal shares of Consyst Business Group. During this time, a significant transformation of the Consyst Business Group business took place: in addition to the classic areas of consulting and service services, an independent vendor of domestic TURBO software appeared in the perimeter of the company. The results of this process became a prerequisite for the consolidation of the asset into the LANIT group and completely coincided with its global strategy aimed at expanding the line of business applications and creating its own unique software products for corporate clients. In turn, Group of company Systematica concentrates on the development of a stack of products and solutions developed by companies.

Philippe Gens initiated the deal in 2019. Its conditions were adopted by the management of the Group of company Systematica, but due to the pandemic, the process of signing documents was postponed until autumn 2020.

Personnel changes and changes related to the management structure are not planned in Consyst Business Group. Companies in the group will continue to develop in their strategic directions. The deal will allow Consist Business Group to further focus on the development of the latest generation of TURBO solutions launched on the market in 2019. Joint work with LANIT Group to promote products and services will give impetus to the development of Consyst Business Group in the domestic IT market.

Creating a Company

Consist Business Group was established in 2015 on the basis of Lanit Consulting, Tops Consulting, Sciener and LC Europe. The company's revenue in 2014 amounted to 486.2 million rubles, an increase of 76 million compared to 2013. Net profit also increased - from 26.7 million rubles in 2013 to 52.7 million rubles in 2014.

=Lanit Consulting

The main activities of the company were the creation of IT resources and databases, the lease of non-residential premises and personnel outsourcing services for the purchase of computers, components and accessories, as well as other goods.

In 2012, Lanit told TAdviser that Lanit Consulting does not work on the open market, but is a resource center in which some of their company's employees are registered.

The company's revenue in 2014 amounted to 347 million rubles, an increase of 156 million compared to 2013. Net profit also increased - from 10.8 million rubles in 2013 to 29.6 million rubles in 2014.

The profitability of Lanit Consulting on net profit in 2014 amounted to 8.5%.

= LC Europe

The company specializes in the implementation of Microsoft and Oracle products.

The financial performance of LC Europe, which is not a Russian legal entity (registered in Budapest), TAdviser is not known. Representatives of "Consist" by the time the text was published, could not disclose them.
