This lawsuit, however, is not the only major one for Mayor Outsourcing Services Pielsey. In January 2022, another substantial amount was received by the Moscow Arbitration Court: 430.5 million rubles are demanded by Sovco Capital Partners, an international company, JSC. According to the Bank of Russia website of November 2021, brothers Dmitry and Sergey Khotimsky collectively own a share of 34.14% in the authorized capital of Sovko Capital Partners. In the summer of 2021, shareholders of Sovco Capital Partners approved a decision to transfer the legal address from Luxembourg to Russia[2].

Sovcombank explained to TAdviser that Sovko Capital Partners requires principal debt and interest on a loan provided by Mayor Outsourcing Services Pielsi, which ended in September 2021.

Also, according to the Cyprus register of legal entities, in 2019, Mayor Outsourcing Services Pielsi changed the status of the company from "current" to notification of reporting problems, and in 2020 the status changed to notification that it has 3 months left to challenge or correct reporting problems. If this is not done, then the prospect is to be erased from the Cyprus register. In the second half of 2021, the status of "Mayor Outsourcing Services Pielsi" in the registry again changed to "current." At the same time, unlike previous years, in 2020 and 2021. the company did not submit an annual report.

Maykor itself from 2018 to November 2021 was not too active in the public space compared to what was before: the company did not release news about its activities. At the same time, during the specified period, Maykor-Service LLC continued to conduct business, although 2017-2020. turned out to be unprofitable for it. According to the balance sheet of Maykor-Service LLC, the company completed 2020 with a loss of about 150.5 million rubles.

2021: Sovcombank takes Maykor balances for debts

As TAdviser found out, on October 4, 2021, Sovcombank became the owner of 0.01% of Maykor-Service LLC, the main legal entity of Maykor IT outsourcer. In the future, the bank plans to increase its share in the framework of debt restructuring.

Earlier, the share transferred to Sovcombank belonged to JSC Centralized Regional Technical Service ("CR CRT Service), another legal entity of the Maykor group, which has been undergoing bankruptcy proceedings since 2019. Immediately before the transition to the bank, 0.01% was listed on the balance sheet of the legal entity of Maykor-Service LLC itself.

Sovcombank TAdviser reported that as a result of the transaction, a treasury share was acquired, which cannot be kept on the balance sheet of the company itself for more than a year. The remaining 99.99% belongs to Maykor-UK LLC, which, in turn, is owned by the Cypriot offshore Maykor Outsourcing Services PLC.

Sovcombank also told TAdviser that the bank plans to expand its stake in Maykor-Service LLC as part of the restructuring of Maykor Group debt, which included the company. The main debts of the group fell on JSC CRT Service, to which back in 2015 the Ministry of Internal Affairs of the Russian Federation filed a lawsuit for 2.1 billion rubles. Representatives of the department failed to prove their case in court and the proceedings were terminated. However, this gave rise to a wave of proceedings and claims, only for the period from 2018 to 2020 the company acted as defendants in 16 cases and plaintiff in 11.

According to a former employee of Maykor Group of Companies, CRT Service, which specialized in the service of cash registers and banking equipment, was the main asset of the group, which generated up to 50% of revenue. So, in 2015, the company brought more than 5 billion out of 10.6 billion rubles of the group's revenue, in 2016 - 4.6 billion out of 10.2 billion rubles of the group, in 2017 - 5.4 billion out of 11 billion rubles. 2020: Former Maykor president Sergei Sulgin got a job at a startup and went to live in London

2018: Transfer of GMCS and BTE to Sovcombank

2017

Revenue growth by 8% to 11 billion rubles

At the end of the year, the company showed revenue of 11 billion rubles, which is 8% higher than in 2016. In the past year, special attention was focused on the development of innovative outsourcing services for key customers, as well as on optimizing internal processes and developing the company's IT systems.

Traditionally, high performance has been preserved in MAYKOR's key industry business area - retail services. This segment accounts for 53% of revenue, which is 5.8 billion rubles. Among MAYKOR's key retail customers are Svyaznoy, X5 Retail Group, Hoff, Sportmaster, Ashan, Dixie, etc. Companies still prefer integrated infrastructure support services for both IT and industry. In 2016, retailers also faced a large-scale task to transfer their own cash registers to online mode in accordance with the requirements of 54-FZ. MAYKOR actively attracted not only customers from federal networks, but also regional retailers to projects to transfer outlets to online cash desks. FAS approved the sale of 100% Maykor to Rostelecom

Thus, the share approved by the FAS can cost from 2.46 billion to 3.7 billion rubles. Familiar with Maykor shareholders said that the transaction amount is close to debt to the Ministry of Internal Affairs - 2 billion rubles.

Earlier, CRT service, a subsidiary of Maykor, won an auction of the Ministry of Internal Affairs, and placed an advance of 2.1 billion rubles in Russian Credit Bank. The agency did not arrange the quality of the work and demanded to return the advance, but by that time Russian Credit had lost its license. Then the Ministry of Internal Affairs sued.[5]

Rostelecom intends to outsource Maykor the function of operating local communication networks in small settlements, while it is planned to transfer employees of unprofitable or small linear technical workshops to the staff of an IT outsourcer.

Under this program, Maykor adopted the practice of competitive procurement of goods and services, which ensured the transparency of the supplier selection procedure. The company also reformed the management of the branch network and introduced a profit and loss reporting system (P&L), which allows for a detailed analysis of the activities of branches and macro-regions. In addition, the CSR management system was optimized: the company has a corporate social responsibility department and a quality control department.

The transformation program emphasizes the development of technical and technological innovations for customers. In 2016, Maykor continued to develop the gainsharing model (participating in increasing customer revenue) and implemented a project to provide secure remote support for workstations for a number of key customers.
