History

2023

Abbyy liquidates the main legal entity in Russia

As TAdviser found out, from June 30, 2023, the key Russian legal entity Abbyy, Abi Production LLC, whose almost 100% founder is the American Abbyy Inc., is in liquidation. Of all Russian legal entities, Abbyy Abi Production brought the largest revenue, at the end of 2022, the turnover amounted to 2.4 billion rubles.

Abbyy, we recall, before the end of January 2022, transferred the rights to the vast majority of its products from Russia to its American legal entities, and after the February events completely "disowned" its Russian business. In letters to its partners in October 2022, the company wrote that in response to the situation in Ukraine, it is curtailing all operations in Russia and is relocating the bulk of its Russian personnel to its development centers in other countries: Cyprus, Hungary and Serbia[1].

But before that, Abbyy had brought Russian business beyond the perimeter of the group - to the new Content AI company, which was founded in April 2022 by former managers of the Russian Abbyy. At the time of its creation, Content AI was positioned as an Abbyy technology partner developing and distributing software under brands for the Russian market, as well as providing support to those who had previously become Abbyy customers.

According to Rospatent, in October 2022, AI Content filed applications, and in February 2023, its rights to product brands were registered, the names of which echo Abbyy product names, such as ContentReader and ContentCapture. The AI Content website also contains products called Lingvo, PassportReader SDK, etc.

In December 2022, Abbyy launched the liquidation of its other Russian legal entity - Abi LLC. At the same time, the explanations for the financial accounting of ABBYY Production, published in the database of the Federal Tax Service in early 2023, said that their company plans to continue to work, counting on support from its foreign owners.

On June 22, 2023, the general director changed at Abi Production - Andrei Kuranov[2]. Since June 30, according to the database of legal entities Kontur.Focus, "he has been the liquidator of the company.

Appointment of Andrei Kuranov as the new general director

At the end of April 2023, Andrei Kuranov became the new CEO of Abbyy's Russian office. He replaced Vadim Tereshchenko, who led the company for almost six years. Read more here.

Russian legal entity Abbyy ended the year with a loss and continues to work, despite geopolitics

In 2022, the revenue of Abbyy, the largest legal entity in operation in Russia, Abi Production, decreased by 47% to 2.4 billion rubles. The company ended the year with a net loss of 255.7 million rubles, follows from its financial statements published in March 2023.

From the explanations to the report on financial results published in the database of the Federal Tax Service, it follows that the average annual number of employees in 2022 amounted to 396 people, i.e. decreased by 1.8 times compared to 2021.

In the reporting period, the revenue structure of ABBYY Production changed. She received almost all the revenue for software development services and earned almost nothing on license payments (royalties). It's very different from how it used to be. So, in 2021, Abi Production received 3.1 billion rubles from royalties - more than two times more money than from software development services for the same period.

In addition, unlike 2021, in 2022 the company did not provide consulting services at all.

Abi Production in 2022 earned only about 3.8 million rubles on royalties against 3.1 billion rubles a year earlier "(photo - Sergey Porter/Vedomosti)"

At the same time, the vast majority of ABBYY Production of 's work in 2022 was performed for related legal entities, it follows from the explanations to the report on financial results. In 2022, these included ABBYY Development Inc. (USA), ABBYY Plc. (Cyprus), Abi LLC (Russia) and a number of others.

In March 2023, Abi Production changed its founders: now it is almost 100% owned by the American ABBYY Inc. And the Russian LLC "Abbyy" has been in liquidation since December 2022.

After February 2022, Abbyy, we recall, "disowned" its Russian business, taking it beyond the perimeter - to the company "Content AI" (Content AI), the founders of which were former managers of the Russian Abbyy. AI Content is positioned as a technological partner of the Abbyy, developing and distributing software under brands for the Russian market, as well as providing support to those who previously became Abbyy customers.

Even earlier, in January 2022, Abbyy removed almost all of its products from the Russian software register, and transferred the rights to them to its American legal entities.

At the same time, despite the widely publicized budding of Russian business, it follows from the explanations to the report on financial results for 2022 that ABBYY Production of plans to continue to work, counting on support from its foreign owners.

File:Aquote1.png
The management is confident that the company receives support from the founders in the amount necessary to finance its operating activities in the foreseeable future, and that the company will continue its activities in the foreseeable future and it has no intention to terminate or significantly reduce its activities, the explanations say. Despite the geopolitical situation, the management is confident that society will be able to continue its activities in the future.

I must say that some other projects created by the founder of Abbyy continue to work in Russia. David Jan For example, a project (iiko "Aiko") developing restaurant software, which is also supplied to Russian state customers[3]May 2022, David Yang on his page on the social network * Facebook assured that iiko would not be turned off.

Also, until the latter, the "daughter" of the software developer for personnel officers created by David Yan Yva.ai (Iva Siees LLC) continued to operate on the Russian market, the purchase of which was announced by the Canadian company Visie in 2022. Since mid-March 2023, Iva Siayes LLC has been under liquidation, according to the Kontur. Focus database.

* Owned by Meta, which in 2022 was recognized as extremist in the Russian Federation.

The Russian part of the business has separated from Abbyy. Now it's a new company under a new brand

Abbyy separated the Russian business from its group of companies, told TAdviser in Abbyy on May 18, 2022. Sales and technical support of users and partners in Russia were transferred to Content AI (Content AI LLC), a technological partner of Abbyy. Read more here.

Most Abbyy products have been removed from the domestic software registry. Rights to them transferred to America

As TAdviser discovered in January 2022, 20 Abbyy products were excluded from the register of domestic software of the Ministry of Digital Development.

Among the remote ones are Abbyy FineReader text recognition program, Abbyy FlexiCapture data streaming solution, Abbyy Business Card Reader, Abbyy Screenshot Reader, tools for creating mobile applications Abbyy Mobile OCR Engine, etc. At the same time, 17 of them were excluded in January 2022, and 3 products (Abbyy Mobile Capture, Abbyy Mobile Web Capture, Abbyy Real-Time Recognition SDK) dropped out of the register back in October 2020.

The exclusion of products in January occurred at the request of the copyright holder himself, according to the website of the register of domestic software. A source close to the expert council on software, which issued an opinion on the exclusion, told TAdviser that there was no discussion about this in the council, the experts simply voted, because a statement was received from the developer.

A source familiar with Abbyy's activities told TAdviser that the company transferred the rights to the products to its American legal entities. This applies to those products that she promotes in the global market.

Abbyy owners - both individuals and funds - are interested in increasing the shareholder value of the company, explains the interlocutor of TAdviser. The rights to products are one of the assets affecting the total value of the company, and when evaluating it, especially in the case of global businesses, the jurisdiction of finding the copyright holder of products is taken into account.

Politics indirectly affects the price, the source says: all assets that are located in Russia have a certain discount on the world market. Therefore, the transfer of rights to products to American jurisdiction increases the value of these assets.

Abbyy's global website now states that it is headquartered in the United States "(photo - Abbyy)"

Abbyy's Russian office confirmed to TAdviser that the rights to most of Abbyy's products were transferred to its American legal entities.

File:Aquote1.png
Yes it is. Abbyy continues to expand its presence in the international market and diversifies assets in line with the key regions of presence for the group of companies. The development of the company's sales in the international market allows us to invest in new areas and technologies and, as a result, provide more and more qualified jobs to the engineers of our R&D centers in Russia, develop research activities and support education in the country, the company told TAdviser.
File:Aquote2.png

The company added that the registry contains a number of its products, for example, Abbyy Intelligent Search, Abbyy Lingvo. Abbyy InfoExtractor SDK also remained in the registry.

In 2021, the largest shareholder of Abbyy was the American fund Marlin, which at Abbyy at the time of the announcement of this transaction was called "a partner in the strategic growth of the company in the context of the expansion of its market." Abbyy's global website now lists the company as headquartered in the United States, with offices in Abbyy countries. Previously, Abbyy's headquarters were located in Russia.

The Russian Abi Production LLC, which was recorded by the copyright holder of all Abbyy products that were previously present in the register of the Ministry of Digital Development, is 99.9% owned by the Cypriot Abbyy PLC.

Recently, Abbyy did not disclose what share of its turnover falls on Russia, but at the end of 2017, for example, the company said that it was 10%. Summing up the results of 2018, Abbyy noted that more than 60% of its revenue was brought to it by Europe and the United States. Abbyy's business continues to develop there, despite the worsening political friction between these regions and Russia. For example, in October 2021, the company announced the launch of the Vantage cloud platform for processing documents using machine learning. According to the announcement, at that time it was already used by four large US banks and one Canadian[4].

File:Aquote1.png
Abbyy is a non-public company and does not disclose data on the structure of revenues. At the same time, Russia has been and remains an important market for our sales. Moreover, it is here that one of our main development centers is located - more than 800 employees work in Moscow and Novosibirsk, they say in the Russian office of Abbyy.
File:Aquote2.png

I must say that Abbyy in January 2022 was not the only developer whose products made an outcome from the register of domestic software. So, according to Diasoft, which also works in the international market, two of its products were excluded from the register - Diasoft Flextera and Diasoft Flextera BI. However, the reasons for the request to remove domestic software from the register in this case are completely different.

File:Aquote1.png
Diasoft Flextera and Diasoft Flextera BI were included in the register of domestic software in 2016. As the functionality of Diasoft developed and expanded, Flextera and Diasoft Flextera BI were divided into many independent software products (currently there are several hundred of them). Each of these products is already included in the register of domestic software. Therefore, the presence of uniform records about Diasoft Flextera and Diasoft Flextera BI ceased to be relevant, and we decided to exclude them from the register, - explained TAdviser in the press service of the company
File:Aquote2.png

I "cleaned up" my software in the registry a little "Мэйл.ру" and (since 2021 it has been operating under the VK brand). The company asked to exclude the following products from the registry: the game "Skyforge," Skyforge Console, the game Internet project RIOT. They were removed in January 2022. And in 2021, the corporate version developed by the Mail.ru, which the company promotes on the international market, dropped out of the list of domestic software of the DBMS Tarantool Ministry of Digital Development. At the time of publication, VK could not explain to TAdviser its motives for removing these products from the registry.
