As TAdviser found out on March 15, Lanit agreed with the Russian team Terrasoft on its complete transition to itself. The company previously announced its withdrawal from the Russian market amid Russia's military operation in Ukraine. The staff of the Russian office "Terrasoft" is more than 80 people, proposals were made to all employees, specified in "Lanit."
The company "Terrasoft" announced a complete exit from the Russian market. It terminates any activity related to it both directly and through dealers, breaking all partner contracts. Despite the unacceptable act of Terrasoft and its non-constructive position, the technical specialists of the Lanit group, having many years of expertise in the vendor's technologies and access to an open platform, will support customers, regardless of the manufacturer's position. The company added that they work within the framework of the current legislation of the Russian Federation, comply with all its requirements and do not plan to transfer money to foreign legal entities. In the current environment, the undoubted priority for Lanit is to maintain the continuity of business processes among customers.
News of the team's transition was preceded by an appeal to Lanit President Philip Gens, State Duma deputy, head of the committee on information policy, IT and communications Alexander Khinshtein. In his Telegram channel, the deputy wrote that Norbit, a company within Lanit, planned to acquire the Russian division of Terrasoft. He expressed concern in this regard, because Terrasoft had previously announced the termination of work with Russia and Belarus for political reasons and the transfer of 2 million hryvnia (approximately 8 million rubles) to support the Armed Forces of Ukraine[1].
In such a situation, any payments by Russian business structures to Terrasoft are de facto funds to fight the "Russian invaders," says Khinshtein.

According to the deputy, at the time of his appeal to Philip Gens, when visiting the site, the www.terrasoft.ru was redirected to the Norbita website. At the time this story was published, the page at www.terrasoft.ru is not available.
In a conversation with TAdviser, Alexander Khinshtein noted that Terrasoft received at least half of its revenue from the Russian market, and it turns out, including from these funds, transferred money to help the Armed Forces of Ukraine. The deputy believed that if the deal to acquire the Russian division of Terrasoft took place, then in this case, in addition to its legal assessment from the point of view of financing the Armed Forces of Ukraine, it would be necessary to revise and provide Lanit with state support measures that he receives as an IT company.
Lanit says that they did not consider the possibility of a deal to buy a business with the American or Ukrainian division of Terrasoft.
Terrasoft BPM Online and BPM Online Marketing products (since 2019, the Creatio brand) were excluded from the domestic software register back in October 2021. The Creatio platform is open, distributed as a commercial Open Source.

2004: Purchase of Norbit SAP Integrator

2003: Getting 70% at DPI's Apple Distributor
In May 2003, LANIT acquired a majority stake in the DPI group of companies. The range of computing tools supplied by the holding is expanding with products from Apple and Silicon Graphics. At this time, LANIT is a prominent player in the market for operational printing systems and solutions for science and education.
As a result of the transaction, LANIT became the owner of a controlling stake (70%) of the DPI group of companies. According to the companies, the turnover of the combined structure in 2003 should have amounted to at least $270 million. LANIT has been among the shareholders of DPI since 1999. Then David Krauskopf, the holder of the controlling stake in DPI, sold the shares he owned, which were divided between Evgeny Butman (head and minority shareholder of the company) and LANIT holding. As a result of this transaction, Butman became the senior shareholder of DPI, LANIT - the owner of the second largest stake. The remaining shares remained owned by Esther Dyson (a journalist and entrepreneur from the United States, leading investment projects in Russia), who has been among the shareholders since 1997. In early 2002, Dyson left the shareholders, and her stake was divided between LANIT and Yevgeny Butman, and so that their shares became equal. After the merger, another 20% of the shares became the property of LANIT.
