2023: Lukoil and its partner gain control of Gardia

On April 18, 2023, it became known about the transfer of the former Russian subsidiary of the insurance company AIG to the ownership of Lukoil and its financial partner. The corresponding entry is entered in the Unified State Register of Legal Entities (USRUL).

According to Interfax with reference to the Unified State Register of Legal Entities, in April 2023, Invest LLC and K.N. Kholding LLC received 51% and 49% shares in the holding structure of Gardia, AIG Si Es Investments LLC. K.N. Kholding is the structure of Lukoil, K.N. Kholding has 49% in Invest, the remaining 51% is owned by ZPIF Gazprombank Freesia.

Lukoil and GPB-Freesia together have already participated in one transaction related to the departure of a foreign player from the Russian market: they acquired control in the daughter of the Italian energy holding Enel (now called EL5-Energo). "Gardia," commenting on the change of ownership to the news agency, said that it would serve the insurance needs of the Lukoil group, "while continuing to develop the market business."

According to the Central Bank of the Russian Federation, by the beginning of 2023, Gardia ranked 94th among Russian insurers in terms of total fees, rolling back from 49th position. The total volume of premiums from the insurance company in 2022 amounted to 227.7 million rubles, having decreased by 11.4 times compared to 2021.

Independent expert Andrei Barkhota, in a conversation with Kommersant, noted that the universal nature of AIG's insurance business makes it suitable for subsequent resale with a premium against the background of improving conditions, and this may include the investment idea of ​ ​ buyers.
