2013: Cisco issued acquisition of Sourcefire company

Cisco and Sourcefire companies signed the binding agreement according to which Cisco will purchase Sourcefire in July, 2013. Both companies will integrate the products, technologies and research collectives of a world class to provide a continuous and comprehensive protection from modern threats on all their extent (i.e. to, in time and after the attack) for any device and a cloud.

Under the terms of the agreement, Cisco will acquire all shares of Sourcefire, having paid 76 US dollars for each of them and also will pay all due dividends and will provide a number of the privileges directed to Sourcefire employee retention. The total costs of Cisco of acquisition of Sourcefire company will make about 2.7 billion dollars. The transaction got approval of Boards of Directors of both companies.

"Acquisition of the companies was and remains the most important component of our innovation strategy "build-buy-partner" providing own developments, acquisition of the external companies and partnership development, – the vice president for corporate development of Cisco company Hilton Romanski said. – Sourcefire technologies are well combined with the strategy of Cisco in the field of network security and support its basic provisions. Both companies consider that the network should play a key role in the field of cyber security and protection against information threats and therefore we have a unique opportunity to offer the market the most comprehensive approach to these questions".
"Concept "perimeter"" does not exist any more. Modern sophisticated threats can bypass the protection created by traditional separate means of information security. The continuous comprehensive protection from modern threats throughout the attack is necessary for the organizations, – the senior vice president of Cisco company for security issues Christopher Young claims. – Acquisition of Sourcefire will allow to provide to our customers one of the most complete integrated solutions in the industry in the field differing in simplicity of implementation and intellectuality of protective functions".

The deal on acquisition of Sourcefire company is supposed to be closed in the second half of 2013 calendar year after passing of all obligatory approvals and procedures. According to forecasts of Cisco, this transaction will reduce the general amount of its profit calculated without the rules GAAP for 2014 financial year because of the expenses connected with acquisition of Sourcefire and its integration a little. Upon completion of the transaction Cisco will include Sourcefire company in the strategic plans, and the staff of Sourcefire will be a part of division of Cisco Security Group which is headed by Christopher Young. Before completion of the transaction of Cisco and Sourcefire will continue to work as two independent companies. Sourcefire was founded in 2001. In 2007 it placed the shares on the exchange. The headquarters of the company is in the city of Colombia (State of Maryland). This area became widely known as the center of innovations for information security.
