Obviously, the transition to domestic software is especially in demand by Russian business. At the same time, most companies are at the stage of choosing both the product itself and the integrator, which will provide migration and comprehensive support at all stages of the project. In response, we increased our investment in developing and promoting our own business applications, and formed the conditions for commercial partnerships with integrators. For our future partners, participation in the project is an opportunity to reorient competencies to high-quality Russian IT products, expand the customer base and increase growth rates. Already in March 2023, our product line covers most of the needs of customers: from the video conferencing service to the software and CRM production platform, - said Anton Spirin, commercial director of the Products and Partnerships cluster of the T1 Group.

Withdrawal from the civilian drone market

In March 2025, it became known that the T1 IT holding announced the closure of the direction of civilian unmanned aircraft systems (ALS) and the redirection of freed resources to the development of space technologies, in particular remote sensing services (remote sensing).

According to Kommersant, the holding T1 reported on the launch of ALS production on the basis of the Rudnevo industrial park in June 2023. As part of the project, it was planned to develop and produce a whole line of products - from an ultralight copter to a heavy drone. The main task of the company was to develop the necessary software, work with big data obtained during the operation of drones, create complex service solutions and solve the issue of remote control.

IT holding T1 left the civilian drone market

T1 CEO Alexei Fetisov explained that the unmanned direction was revised in terms of its business significance, and the released resources were redirected to the development of a number of global industry projects. He also added that his own ground space infrastructure has already been built from the freed resources for remote sensing of the earth, and the company provides services for the supply of data to the remote sensing system.

This is not the first time that the T1 holding has abandoned space projects in favor of DZZ. In the spring of 2024, the company pulled out of a spacecraft launch program launched in the summer of 2023 in partnership with private space company SR Space.

Against the background of a change in T1 strategy, experts note the general growth of the drone market in Russia. According to the preliminary assessment of the Aeronext Association, in monetary terms, the volume of the ALS market in 2024 increased by 45% and reached almost ₽36 billion, taking into account the shipment of civilian products for a special military operation.[3]

VTB withdrew from the capital T1

VTB Bank withdrew from the capital of the multidisciplinary holding T1, which provides a wide range of IT services and provides solutions for the implementation of high-tech projects, taking into account the needs and industry specifics of customers. The changes are reported in the financial report of the T1, published on March 23, 2025.

According to Interfax, the T1 is in the process of reorganization and transformation into a joint-stock company. As of the end of 2024, VTB owned a stake of 3.695% in T1. After the bank left the holding structure, as well as the increase in the authorized capital of the T1, which took place in February 2025, the owners of the organization are LLC SFO Vector of Technologies, LLC Sirocco Technologies and ZPIF Axis with shares, respectively, 44.9%, 37.2% and 17.9%.

File:Aquote1.png
Significant events after the reporting date include a change in the composition of the company's participants. VTB Bank has withdrawn from the company, the T1 said in a statement.
File:Aquote2.png

The report says that the T1 is increasing its business volumes and maintaining a stable financial situation without attracting long-term external financing: at the end of 2024, the holding's net debt was negative and amounted to minus 41.18 billion rubles, including due to a low debt burden of 2.3 billion rubles, of which 2 billion fell on a bond issue placed in 2023. T1 seeks to become a full-fledged vertically integrated company that fully solves the tasks of customers from the public sector and key sectors of the economy in technological transformation and import substitution.

As of the beginning of 2025, T1 directly owned 21 IT companies, including T1 Integration, T1 Consulting, T1 Cloud, MultiMap, Innotech, Datatech, etc. Moreover, some of them themselves are groups of companies or own various shares in other IT structures.[4]

T1 plans to produce its own equipment

IT Holding T1 has published a strategy for the further development of its holding in the near future. According to analysts of the holding, the market growth rate of 20%, which was shown in 2024, should decrease already in 2025, which is due to the high key rate of 21% and the cooling of the market caused by it. Nevertheless, by 2030 the company still expects a doubling of the volume of the Russian IT market. The company's strategy assumes growth faster than the market averages, which is planned to be achieved by abandoning ineffective projects and increasing the share of high-margin business. Important elements of the strategy are also their own training of the necessary personnel and territorial expansion.

Analysis of the development of the IT market in Russia by experts T1

The key direction of the holding's development is the formation of vertically integrated solutions. Companies will be engaged not only in the integration and development of their own software, but also are going to engage in the development and production of specialized equipment. In particular, it was announced that the company will produce equipment on the basis of joint ventures: with Lanit and Rostec. It is planned to produce registered software and hardware complexes (PAC) for KII facilities (together with Rostec) and self-service devices for the banking sector (ATMs and payment terminals with Lanit).

File:Aquote1.png
We will not invest heavily in iron, but we expect that we will receive a certain share of margin, "Dmitry Kharitonov, First Deputy General Director of the T1, explained in a conversation with TAdviser. - If we have to invest in the product, then we need to understand where to get the funds. The main source is our income received from high-value-added products. We will continue this way. We plan to provide the main growth due to products with high added value. It's basically PAC.
File:Aquote2.png

T1 Strategy for Building a Vertically Integrated Company

14 existing competence centers created in the holding earlier will be engaged in the development of equipment in the holding. In the near future, it is planned to create three more such centers: for PAC, for equipment for retail and for medical devices. They will develop prototypes of devices that are planned to be transferred to production at joint ventures in the future. Moreover, there the company will also produce equipment for its own ICS "Silaron," which is supposed to be transferred to the Russian element base and installed at domestic industrial enterprises by integration units.

VTB became a direct co-owner T1

VTB became a direct co-owner of the holding company T1. The corresponding changes in the Unified State Register of Legal Entities (USRUL) were registered at the end of December 2024.

The data of the Kontur.Focus service, which TAdviser got acquainted with, indicate that Sirocco Technologies LLC, which owned 40.9% of the T1, transferred 3.7% of IT holding to VTB Bank PJSC. As a result, Sirocco Technology's share in the T1 decreased to 37.2%. The main owner of the IT group remained LLC Specialized Financial Society Vector Technologies with a share of 41.2%. In addition, 17.9% of the company belongs to JSC Management Company "Nrk-Capital (Asset Management)."

VTB became a direct co-owner of the holding company T1

The first to pay attention to the change in the structure of the owners of the T1 was the Business News Agency (ABN). It notes that the structure of T1 LLC changes during the period when, according to the Unified State Register of Legal Entities, a legal entity is in the process of reorganization in the form of transformation. Upon completion of the reorganization, it will be transformed into a joint stock company. TAdviser sent T1 a request for comments on updating the ownership structure, but at the time of publication of the material (18:00 Moscow time on January 9, 2024) did not receive an answer.

According to ABN, 41.2% through SFO Vector Technologies LLC are rooted in the Vector Technologies fund, the owners of 17.9% transferred their shares to the closed mutual investment combined fund Axis.

The publication also says that VTB is a long-time partner of the T1, the bank is actively lending to the holding. At the beginning of 2024, 100% of the group's 13 companies were pledged to the credit institution.[5]

Change ownership structure

The SFO Vector of Technologies Foundation received 41.17% in T1 LLC on November 28, 2024, and Yulia Mankos became the main ultimate owner of the company. After changing the ownership structure, the shares of other participants were distributed as follows: 40.88% belongs to Sirocco Technologies and 17.94% to the combined closed-end investment fund Axis.

According to Kommersant, the Siberian Federal District Vector of Technologies is 100% owned by the Vector of Technologies Foundation, while its founders are hidden. The general director of the fund is Julia Mankos, who also owns 100% of Sirocco Technologies. Until November 28, 2024, the ownership structure of T1 LLC looked different: 69.5% belonged to Yulia Mankos through Sirocco Technologies LLC and 30.5% to ZPIF Axis.

IT Holding Changed Ownership Structure T1

Until March 2022, 30.5% of the IT company belonged to the bank, VTB which sold its stake to ZPIF Axis a month after the bank was included in the SDN List USA in February 2024. Svetlana Derevenko, Managing Partner of Correcto, Derevenko and Partners, noted that since September 2024 the company has been at the stage of changing its organizational form from LLC to JSC.

According to Anna Avakimyan, chief analyst at Regblock, the redistribution of the shareholder capital structure is a traditional tool to reduce personal sanctions risks.

File:Aquote1.png
Given the accumulated experience in lifting sanctions, it is possible that the alienation of these shares will help justify the arguments for lifting or not implementing sanctions, the expert notes.
File:Aquote2.png

Changes in the structure of the holding may also be due to the preparation of the company for entering an IPO to raise capital, while the company will hide the direct owners of the business.

Venture lawyer ASB Consulting Group Alexei Volokhov stressed that the change in the composition of the company's participants does not indicate plans to go public. The founder of the Institute of Financial and Investment Technologies Alexei Primak explained that for this it is necessary to have the status of a joint-stock company, and the T1 is in transitional status. According to him, the window of opportunity for IPO will open after the start of the rate cut cycle in the fall of 2025.

Creation of a joint venture with LANIT for the production of ATMs

The partnership aims to develop and manufacture Russian self-service devices for the financial market. This was announced by T1 on October 9, 2024.

When creating devices, Russian components and software are used that meet the requirements of the Decree of the Government of the Russian Federation No. 719 on the import independence of industrial products.

To solve import substitution problems, the parties combined their technological competencies: LANIT - many years of experience in creating hardware infrastructure and technical support for self-service devices, T1 Holding - expertise in developing software for players in the financial sector.

T1 Holding has begun developing electronics for civilian unmanned aircraft systems (ALS), Konstantin Shadrin, director of the T1 Aerospace Technology Competence Center, said on June 6, 2024.

T1 develops electronics for civilian drones

File:Aquote1.png
At the first stage, the holding focuses on frame structures and propeller groups for drones, - said Konstantin Shadrin. - We plan to deepen the team's expertise and expand the range of independently produced areas and products, including developing elements of electronics for ALS.
File:Aquote2.png

He added that priority will be given to domestic components in accordance with government decree No. 719, which defines the criteria for recognizing Russian products. If necessary, "T1" is ready for cooperation with other domestic suppliers.

According to Vedomosti, the holding is quite capable of localizing the assembly of drones and the production of individual electronic components, such as flight controllers or boards. However, the development of chips for ALS remains an extremely difficult task, requiring huge investments.

File:Aquote1.png
I strongly doubt that it will be possible to completely localize the production of microelectronics, because it is mainly used abroad, - said Vitaly Munirov, general director of Kursir. - At the same time, all microelectronics localized in Russia will still be more expensive than similar foreign systems.
File:Aquote2.png

According to him, the current level of localization in the Russian drone industry averages about 60-80%, with the greatest dependence remaining in the field of microelectronics, motors, batteries and other key components. Launched in 2024, the Unmanned Aircraft Systems national project with a budget of about 900 billion rubles is designed to significantly increase the technological independence of the industry within five years.[6]

2022

1st place in the ranking "Largest IT suppliers in Russian banks"

The T1 Group took 1st place in the TAdviser rating, prepared on the basis of revenue from the implementation of IT projects in Russian banks in 2022 and published in December 2023. Read more here.

Revenue growth by 90% to 166.7 billion rubles

The revenue of the holding "T1" in 2022 increased by 90%, to 166.7 billion rubles with VAT, the company told TAdviser. In the ranking "TAdviser100: The largest IT companies in Russia 2023," such an indicator allowed the company to take 3rd place.

According to data for 2022

The growth driver was the development of existing areas: the largest contribution to the revenue was made by the development, supply and implementation of software, technical support, cloud services, explained in T1. In addition, the indicators were affected by a significant increase in customer demand within the framework of the need to ensure technological independence - from the refinement and implementation of domestic software products to the supply of equipment.

Over the year, the holding's staff increased by 85%: from 8.7 thousand to more than 16 thousand people. In addition to joining more than 2 thousand specialists as part of Servionica, over 10 teams of specialized engineers from vendors who left the Russian IT market joined the holding company. The new expertise made it possible to form areas: engineering analysis and product development of CAE class solutions (automation of engineering calculations due to simulation of physical processes), as well as industrial engineering and automation (development and implementation of APCS and MES solutions).

Along with this, the expertise of T1 in the areas of information security and expanded support for SAP and Oracle was strengthened. The company previously said that Oracle, in particular, was joined by a team that was responsible for the development of large-scale banking solutions.

The holding also increased the number of local partners to 200 companies, increased its status and increased expertise on key Russian vendors. The client portfolio has been diversified.

T1 customers include more than 600 companies, including industry leaders with a significant share of investments in IT: finance, retail, industry, telecom, transport, and the public sector.

As for working with the public sector, in particular, in 2022, T1 companies entered into a number of large government contracts. For example, TS Integration signed a contract with Tax-Service, the structure of the Federal Tax Service, for the supply of equipment, software and the creation of a software and hardware complex with a volume of about 2.5 billion rubles. With FMBA of Russia "TS Integration" concluded two state contracts for the supply of software and technical support in the amount of about 1.7 billion rubles each.

File:Aquote1.png
The multiple growth of financial indicators and the steady scaling of the business were the result of the fact that the holding "T1" increased the number of customers and projects, the pool of partners expanded. Today, 16 thousand specialists from more than 250 cities of Russia work with us. In 2022, the holding ahead of time fulfilled the key goals of the strategy, exceeding the targets for 2024, says Igor Kalganov, general director of the T1 holding.
File:Aquote2.png

Igor Kalganov, we recall, in 2022 was recognized as the "Top Manager of the Year in the IT market of Russia" according to TAdviser IT Prize 2022.

In 2022, the T1 holding formed and brought to the market a pool of its own products. Its key decisions are registered in the unified register of domestic software:

  • For operational needs, the Dion corporate communications platform, the T1 Talent Management digital HR platform, the online meeting system Committee Online, and the T1 CRM customer relationship management core system are offered;
  • Technology processes are focused on the Mirion, Kore.DWH and Kore.Datalake, MLFactory, T1 Cloud, IaaS + cloud resources, as well as the Sphere software development platform and CRM enterprise business portal;
  • To support the activities of financial institutions, a digital banking platform, a comprehensive solution for switching to the tax monitoring mode "T1 Tax Monitoring," processing services have been developed.

Also in 2022, the transition to a new management structure and model began. The internal services of the holding companies have become centralized and are based on a service support center. Areas of activity were combined into clusters:

  • The T1 cluster brought together technological areas, which made it possible to comprehensively cover the needs of market customers: IT outsourcing and subsequent service (Servionica), integration business (T1 Integration), IT consulting and business process automation (T1 Consulting), the use of cloud services (T1 Cloud).
  • Innotech Cluster is a fintech solution provider, a single development center.
  • ABM cluster (products and partnerships) is a multi-product vendor of domestic software, which is responsible for the development of its own platform products and the formation of an external partner network for distribution and integration of solutions.
  • Datatech cluster specializes in working with big data.
  • The Multicart cluster provides processing and acquiring solutions and services.

In 2022, we recall that VTB Bank sold its stake in T1 LLC, explaining this by the "planned restructuring of the investment portfolio and withdrawal from non-core assets"[9] its[10]

Agreement on testing hybrid cargo, transport and unmanned aircraft in the Nenets Autonomous Okrug

Opening the Product Development Area for Industrial Engineering Analysis Automation

The T1 Group on October 6, 2022 announced the opening of a product development area for the automation of engineering analysis in industry.

The direction will be headed by Alexander Sobachkin, previously the director of the direction R&D in the company. The Siemens PLM T1 Group's Engineering Analysis and Product Development Competence Center will develop a class CAE product (Computed Aided Engineering computer). Such solutions are part of the complex of software developments for computer-aided design - they CAD are part of the stack of Product PLM Lifecycle Management technology.

The solution is intended for automation of engineering calculations due to simulation of a number of physical processes: hydrogas dynamics, heat transfer, electrical processes, calculation of strength of structures, etc. It will include several specialized modules, for example, "PCB Analysis Module," "Power Electronics Analysis Module," "Optics and Photonics Analysis Module," etc.

Computer modeling makes it possible to assess the influence of changing thermodynamic parameters of the medium (pressure, speed, liquid flow rate, liquid and solid body temperature, stress, deformation, etc.) on the designed product in real operating conditions. Information about the processes that occur during the operation of the product allows the engineer to clarify its characteristics and optimize them if necessary.

The use of a digital analysis model provides an opportunity to improve the quality of development and obtain an assessment of the performance of the product with significantly less time and money. Cost savings are achieved by detecting design problems in the early stages of design and reducing the number of expensive field experiments, including the possibility of completely abandoning them. In addition, routine operations are reduced and time is freed up for high-tech specialists who can focus on innovative tasks.

The product will be intended for design engineers and calculation engineers at design bureaus. The industry sphere of application is diverse: instrument engineering, aircraft engineering, rocket and space industry, automotive industry, mechanical engineering, shipbuilding, oil and gas industry, power, architectural design and construction, etc.

File:Aquote1.png
Based on the experience gained, we chose for our product the use of an integral calculation method based on improved classical analysis methods together with experimental characteristics and analytical models already "sewn" into the system. This approach will avoid the inherent time-consuming initial preparation of input data in standard CAE systems. And all this - without losing the accuracy of modeling. Thus, we will get an easy-to-use solution that can be used by both calculation engineers and non-specialists in the field of CAE: software research will require a minimum of costs, - said Alexander Sobachkin, director of the center for competencies in engineering analysis and product development of the T1 Group.
File:Aquote2.png

{{quote 'According to experts, high-quality CAE products can reduce simulation time by 75%, and increase performance by up to 40 times. The program requires a geometric model with specified operating conditions to form a thermodynamic picture that allows the designer to assess the need for product modification. It is much easier to make changes to the parameters of the model during digital tests than to the product itself, so the use of such technologies can increase the company's revenues by up to 10%, accelerate the time the product enters the market by 50% and improve quality by 25%, "said Mikhail Knigin, executive director of the T1. }}

Association of the Technoserv group under the T1 brand

On April 21, 2021, Technoserv announced the rebranding and merger of its group of companies under a single brand - T1. The group changed its corporate identity, and structural changes were completed.

The holding's parent company is T1, which manages the strategic development of the group and acts as a "single window" for customers from various industries in the implementation of large complex projects.

The group is responsible for the integration business in the T1 Integration direction, consulting - T1 Consulting, cloud services - T1 Cloud (formerly Technoserv Cloud), application software development - Reksoft.

Also, the Innotech company appeared in the group. The "T1" explained to TAdviser that this is a new company that began its work in May 2020. This is a fintech with a specialization in custom software for the digitalization of the banking industry. Innotech is engaged in innovative activities in the areas of developing new solutions to increase the efficiency of production business systems, processing and analyzing large amounts of data.

In addition, at the beginning of 2021, I-Teco sold a stake in Servionica to T1 (TAdviser wrote about this earlier here. T1 is exploring growth opportunities not only organic, but also due to M&A in different segments of the IT market, TAdviser said in T1. In particular, 25.01% of Servionica LLC shares were acquired. T1 already had a service direction in its portfolio within the framework of the integration direction and expects to strengthen it with synergy with one of the largest players in this industry.

T1 CEO Sergei Solovyov says that Technoserv mainly worked in a highly competitive supply market and fairly simple, basic IT products, and this market is becoming less and less marginal every year

Company sites move to other domains: "T1" - t1.ru, "T1 Integration" - t1-integration.ru, "T1 Consulting" - t1-consulting.ru, T1 Cloud - t1-cloud.ru. For Innotech (nno.tech) and Reksoft (reksoft.ru), the sites remain the same.

According to the database of legal entities "Kontur.Fokus," LLC "T1" is 69.4% owned by Sirocco Technologies and 30.5% owned by VTB. 100% of Sirocco Technologies, in turn, are listed as Julia Mancos. There is no public information about whose interests it acts in yet. A source close to VTB, earlier in a conversation with TAdviser, called Julia Mankos a legally independent partner of the bank. And T1 told TAdviser they were not commenting on the group's shareholders.

File:Aquote1.png
The rebranding was launched last year. Technoserv was one of the oldest and largest IT holdings in the country, had a huge pool of competencies, but mainly worked in a highly competitive supply market and fairly simple, basic IT products. This market is becoming less and less marginal every year, for the customer there are fewer and fewer unique values, - said Sergei Solovyov, general director of T1, about the prerequisites for the transformation of the group. "We realized that for dynamic development we need new growth points, new breakthrough directions, since the IT market itself in 2020 has changed a lot[12] ambitions. "
File:Aquote2.png

The group is increasing new expertise, launching new lines of business, buying companies in the market, which it considers leaders in its industries. Rebranding is a reflection of the changes that are taking place within the group, Solovyov added.

The plans of "T1" are to expand the business in different segments: IT market,, Big Data,, and outsourcing IoT" cyber security import substitution software hardware," they say in the group.

File:Aquote1.png
Last year, we developed a strategy until 2024. It provides for the transformation of our group of companies into a national digital champion, occupying at least 6% of the market in those areas where the company is present or has products. But in general, our ambitions are even higher - to become number one on the market of Russia and the CIS, - said Solovyov.
File:Aquote2.png

According to the general director of T1, the shareholders of the group show involvement in business - in terms of assistance, support for certain projects. VTB Group, in particular, T1 has developed "sustainable financial and technological cooperation." T1 is a technology partner of both the bank and a number of its subsidiaries.

File:Aquote1.png
In turn, VTB Group is our financial partner, which provides us and our customers with a wide range of financial and related services: project financing, settlement and cash services, bank guarantees, credit, factoring and leasing products, - explained Sergei Solovyov.
File:Aquote2.png

According to T1, at the end of 2020, the group more than doubled its revenue: it reached 59.2 billion rubles with VAT against 26.5 billion rubles a year earlier.

Since the beginning of 2020, the team of the group has more than doubled: from 2.5 thousand to 5.4 thousand employees. And by the end of 2021, it is planned to attract about 3 thousand employees, mainly in the areas of development, testing and technical support.

The "T1" explained to TAdviser that the group's companies are faced with the task of launching new margin products and services. To this end, highly qualified specialists were involved in the team from the market: top management of companies, unique IT specialists, and the direction of recruitment was strengthened.

File:Aquote1.png
The search for specialists is on the open market, we are focused on attracting up to 1.2 thousand employees per quarter, mainly in the areas of development, testing and technical support, the company noted.
