"New Cloud Technologies" is a Russian developer of office software for working with different types of documents, messaging and storing files. For Russian users, the company develops products under the MyOffice brand.
Performance indicators
2023: Sharp drop in revenue and loss of 5.2 billion rubles
The revenue of the company "New Cloud Technologies," operating under the brand "MyOffice," decreased by 43% in 2023 and amounted to 1.87 billion rubles, follows from the financial statements of the company published in the service "Kontur. Focus."
After net profit in 2022 in the amount of 386 million rubles in 2023, New Cloud Technologies showed a net loss of 5.2 billion rubles.
At the same time, the cost of sales increased 2.7 times - from 856 million rubles in 2022 to 2.33 billion rubles in 2023. Management expenses increased from 519 million to 754 million rubles. Expenses under the "Other" category increased from 317 million to 2.64 billion rubles.
In September 2022, we recall that management changed in New Cloud Technologies, and Kaspersky Lab increased its stake in the company to a control one (see below).
The founder and until March 2022, the general director of New Cloud Technologies, Dmitry Komissarov, told TAdviser that he left the company's board of directors a year ago and, as a shareholder (owns 5%), did not receive loss information from management.
In response to a TAdviser request, New Cloud Technologies reported that "in 2022 there was the first wave of import substitution - a number of large transactions were concluded on the market, which largely satisfied the initial demand. At the same time, customers preferred to purchase 3-year licenses at once (respectively, they did not buy licenses in 2023). In 2023, the pace of transition to domestic software significantly decreased - including against the background of a change in the policy of foreign vendors who did not leave the market. As a result, many customers have postponed the decision to switch to domestic products for 2024 "(the results of the year of MyOffice's main competitor , P7-Office , do not confirm this trend, note TAdviser).
According to our estimates, in 2024 the trend will change to the opposite. In the first quarter, we see a multiple increase in demand and revenue. At the same time (in terms of costs), last year the company continued to increase resources, doubling the development team. We consider rising costs to be investments in future market growth. Our task is to support the growing demand by expanding the product line, product functionality and increasing their user qualities, the company added. |
Founder of MyOffice Dmitry Komissarov - on the negative results of the year: It is surprising that measures were not taken to retain customers
TAdviser received a comment from Dmitry Komissarov, founder of New Cloud Technologies (MyOffice brand), regarding the company's negative financial results in 2023:
More than two years ago, on February 2, 2022, the Board of Directors of MyOffice decided to appoint a new CEO. From that moment until April 2023, I served as a member of the Board of Directors and participated in the receipt and especially implementation of 2 of the 3 largest contracts in 2022 - Rosatom and Rostelecom. The company reached a turnover of 3.3 billion rubles in 2022 and a profit of 300 million rubles. By the end of 2022, the company changed the main composition of the top management responsible for operating activities, sales and software development. In February-March 2023, I informed the Board of Directors and the majority shareholder of Kaspersky Lab about the threatened loss of potential customers in the 2023 funnel, as well as a possible drop in the company's turnover to 2 billion rubles. Since April 2023, I have left the Board of Directors and it is surprising to me that no measures have been taken to retain customers, especially given the fact of an increase in expenses from 3 to 7 billion rubles. |
The way out of the current situation is to attract a strategic investor, Komissarov added.
Partner Program
2023: Partner Discount Increase
On May 24, 2023, MyOffice introduced an updated partner program for resellers and integrators - with high margins and additional earning opportunities.
The key change is an increase in the partner discount. The maximum discount for resellers has increased by one and a half times, and for integrators - by three times. Given the demand for MyOffice in the market and the high average check of transactions, these conditions will allow partners to make even more money on the sale and implementation of the company's products.
Other changes include the ability for partners to receive MyOffice products for corporate use for free or purchase at a discount (depending on the number of licenses), as well as the ability to earn on the resale of Knowledge Hub MyOffice services for end-user training and services for implementing MyOffice products.
The updated certification system will ensure the growth of partner competencies to develop their business and increase sales. Now for partners belonging to the Reseller type, it is mandatory to pass the certification "MyOffice First Step," and for obtaining the type "Integrator" - to take additional courses "MyOffice Presale," "MyOffice Engineer," "MyOffice Expert." A separate certification is intended for partners authorized for sale by Mailion - this is "My MyOffice Expert Mailion."
The changes and the partner marketing program were also affected. Now the marketing strategy with partners is calculated for 6-12 months - in order to plan a comprehensive promotion of MyOffice products. All partners, after approval by MyOffice, can receive a budget for joint marketing activities.
As the market leader in Russian office software, MyOffice sets itself ambitious goals, in the achievement of which we cannot do without the help of partners. That is why we revised and finalized the terms of the partner program, making it more profitable. We are interested in the development and high margin of companies that cooperate with us, we provide them with all the support and necessary resources so that our joint projects are as effective as possible, "said Alexander Ivannikov, Commercial Director of MyOffice. |

Vyacheslav Zakorzhevsky, CEO of New Cloud Technologies , commented on TAdviser's change of top managers as follows:

A TAdviser source familiar with the situation within the company said that the loss was the result of an almost twofold increase in the number of employees (from 660 to 1100 people) amid a decrease in sales.
Kaspersky Lab increased its share in New Cloud Technologies to 68.8%
On October 28, 2024, it became known that Kaspersky Lab entered into an agreement to acquire an additional 5 percent stake in New Cloud Technologies LLC, which produces software products under the MyOffice brand. Subsequently, Kaspersky Lab gained control over 63.8% of New Cloud Technologies LLC. The deal with Media Project Development Group LLC allowed expanding the package to 68.8%.
Other co-owners of New Cloud Technologies LLC as of the end of October 2024 are: Andrei Cheglakov (former senior vice president of PJSC Rostelecom) with a share of 22.7%, Dmitry Komissarov (co-founder and first general director) with 5%, Alexander Timchenko (on the board of directors of Fesko) with 2.5%, Alexey Dobrokhotov with 0.75% and Elena Basova with 0.25%.[1]
Dmitry Komissarov told TAdviser that the sale of 5% was behind the scenes, there was no offer to other owners.
Vyacheslav Zakorzhevsky, CEO of MyOffice, commented on the deal at the request of TAdviser as follows:
The change in the structure of shares in the authorized capital of the company is the nature of the relationship between the members of the company - business entities. One of the members of the Company decided to withdraw from the members of New Cloud Technologies LLC for his own reasons, and therefore he exercised the right to sell or alienate his share to another member of the Company. In accordance with the provisions of Part 2 of Art. 21 No. 14-FZ "On Limited Liability Companies," with such a change in the ownership structure, the consent of other members of the company is not required to complete such a transaction. The changes will not affect the current activities of New Cloud Technologies and its current strategy. |

The volume of pilot projects carried out during the reporting period increased 6 times.
The past 2022 was difficult, the Russian market for the first time in its history faced unprecedented sanctions pressure and the departure of Western vendors, which led to a sharp increase in the popularity of domestic IT products, which, in turn, became a challenge for both consumers and manufacturers. In an effort to meet the sharply increased demand in 2022, MyOffice opened another office in Samara, and over the entire year, more than 400 employees were hired in total. Thus, our staff has grown by more than a third, "says Pavel Kalyakin, CEO of MyOffice. |

Thanks to this, the product "MyOffice Secure Cloud" received a certificate from FSTEC, and "MyOffice Standard" passed the inspection control of the regulator.
During 2022, MyOffice also actively developed the direction of technological partnership with other Russian IT companies. For example, the introduction of the server version of MyOffice web editors into VK services allowed tens of millions of Mail and Mail.ru Cloud users to edit text and table files directly from the browser.
The shareholders of MyOffice are focused on ensuring further growth of the company, as well as on the development of an ecosystem of office solutions and secure software products. So, in the first 4 months of 2023, the company launched two new products: "Mailion Certified" and a single digital workspace Squadus.

Therefore, it is quite expected that we need more and more employees to develop and support products. The growth goals are very ambitious - in 2022, MyOffice plans to expand its staff by at least 15-20%. They are ready to strengthen not only due to point hiring, but also to grow with whole teams. For 9 years on the market, we have made sure that a lot depends on the well-coordinated work of people, so we pay special attention to our main value - employees. The introduction of already formed teams is a valuable experience that helps the company develop faster, gives all participants in the workflow the opportunity to look at the product from different sides and helps to realize everyone's potential to the maximum, "said Ekaterina Dementieva, HR Director of MyOffice. |

"MyOffice" froze international expansion
"MyOffice" froze expansion abroad due to the start of the Russian military special operation (SVO) in Ukraine. Dmitry Komissarov, founder of the office software company, told the Vedomosti newspaper about this in early June 2022.
According to Komissarov, in addition to working in Russia, MyOffice focused on development in African countries, but with the start of SVO, the company was forced to slow down expansion in the region. Due to the sanctions imposed on Russia, logistics and organizational processes have become very complicated. In addition, there is a shortage of data centers in Africa, and some countries have joined the restrictions imposed on Russia, the founder of MyOffice explained.
As the newspaper writes, not only MyOffice changed its mind about developing foreign areas of activity - a number of other IT companies did the same. Market participants interviewed by the newspaper note uncertainty due to sanctions pressure and the difficulty in finding investors to enter foreign markets.
Among other obstacles, representatives of the IT industry call the volatility of the ruble exchange rate, which greatly affects pricing when concluding foreign contracts. At the same time, the opportunity to work with foreign clients, even from Europe and the United States, remains, entrepreneurs say. This often requires the provision of documents confirming that the company and its beneficiaries are not on the sanctions lists.
Difficulties in international expansion were recognized by the payment platform Mandarin, the information security company SearchInform, etc.[3]

2021
"MyOffice" sharply increased revenue, but remained unprofitable
The revenue of the company "New Cloud Technologies," operating under the brand "MyOffice," in 2021 increased 82.8%, from 460.4 million to 841.8 million rubles. At the same time, the company again showed a net loss of 1.37 billion rubles for the year, a year earlier the loss was slightly more - 1.465 billion rubles. Data on financial results were published in April in the service "Kontur. Focus."
The revenue of the Cloud Technologies Laboratory owned by New Cloud Technologies in 2021 increased by 221.5%, from 243.9 million to 784.1 million rubles. Thus, the total revenue of the companies exceeded 1.6 billion rubles, and the net loss reached 1.7 billion rubles.
As TAdviser was explained in the press service of MyOffice, revenue growth is associated with the growing interest of government organizations and large businesses in Russian software, as well as its qualitative improvement. For the year, the number of customers increased by 23%, and the share of repeated purchases increased from 10% to 20%.
The loss in the company was explained as follows:
Now we are at the investment stage of development. About 80% of our expenses are a wage fund, on average, the salary of a programmer over the past 5 years is growing by 10-15% per year - over 5 years, PHY costs are doubling, which undoubtedly affects the indicators. In 2021, the increase in the number of MyOffice employees amounted to more than 21%, most of which are highly qualified developers with high wages |
According to the press service, thanks to high growth rates, the company plans to break even in 2021.

For example, at the end of December 2020, as part of the state defense order, the FSIN Service acquired more than 6 thousand licenses "MyOffice Standard," and in June 2021, almost 11 thousand licenses were bought by the Federal State Budgetary Institution "Information and Analytical Center for Support of the state automated system" Justice "(Federal State Budgetary Institution IAC" Judicial Department ").
The product "MyOffice Education" is supplied to Russian schools within the framework of the national project "Education." Sales to institutions, organizations and state corporations are carried out mainly through partners, including the largest IT distributors Merlion, Mont and Treolan.
In April 2021, the preinstallation program for user applications "MyOffice Documents" and "MyOffice Standard" was launched. Home version "for laptops, tablets and smartphones. Over the year, the program made more than 11 million installations on private computers and mobile devices.

Kaspersky Lab increased its share in NOTH to 47%
On July 20, 2020, it became known that Kaspersky Lab significantly increased its stake in New Cloud Technologies to 47% from 29.5% of the shares that were acquired a year earlier.
As a representative of New Cloud Technologies told Kommersant, part of the company's share was sold to Kaspersky Lab by investor Andrei Cheglakov, who at the same time retained 30.55% ownership. The deal increases the capitalization of the company, Dmitry Komissarov, CEO of NOTH, told the publication.[5]
Kaspersky Lab is the right investor who sees great potential in the unique ideas and architecture of MyOffice solutions. Over the past year, we have already assessed the synergistic effect of cooperation and saw new prospects for further development, "he said. |
As stated in the press release, the deal was a continuation of Kaspersky Lab's strategy to diversify its business and invest in promising IT areas. They decided not to disclose the financial component of the agreement.
It is noted that an increase in the share of Kaspersky Lab will not lead to a change in the MyOffice strategy. Cooperation with Kaspersky Lab allows MyOffice to add the security functions demanded by users against viruses and complex threats, as well as to protect their data even more reliably.
Meanwhile, Andrei Cheglakov is expanding his investment portfolio. Prior to the deal with Kaspersky Lab, he became a co-owner of Veloce Racing, an international innovator in the development of technologies for electric vehicles.
Andrei Cheglakov is also considering opportunities for entering the capital of international high-tech companies and IT projects on the Russian market, New Cloud Technologies reported.
New co-owner - wife of the top manager of RVC
In March 2020, New Cloud Technologies has a new co-owner - Elena Basova. According to the database "Kontur. Focus," she owns about 0.25% in the authorized capital of the company.
Basov is the wife of one of the former shareholders of the company - Alexei Basov. He took part in the launch of the company, and in 2016 sold his stake in New Cloud Technologies to majority shareholder Andrei Cheglakov. Basov was vice president of Rostelecom, and since 2017 he has been the deputy general director - investment director of RVC.
New Cloud Technologies told TAdviser that the appearance of Elena Basova among the co-owners is the exercise of an option in the interests of Alexei Basov. The company has retained its option obligations to it, which are partially realized by this transaction.
The fact that the spouse became the actual shareholder is explained by the terms of the marriage contract. Alexey Basov, who is on the board of directors of New Cloud Technologies, will continue to play an actual role in the further development of the company, the company explained to TAdviser. |
The share of 0.25% was sold to Elena Basova by Andrey Cheglakov, the company added. Its share after the sale is 48.05%.
TAdviser did not provide additional information about Alexei Basov's wife in New Cloud Technologies. According to the Kontur.Fokus database, in addition to this company, Basova is not involved in any other businesses as a co-owner or co-founder.
Building a Partner Network in Africa
On March 10, 2020, New Cloud Technologies, a Russian developer of document collaboration software, announced that it had begun forming a partner network to work in African countries. It is planned to create a two-level distribution channel through which software will be supplied to state and large commercial structures of the region.
MyOffice is negotiating at the state level on work in a number of countries in Africa, including Algeria, Burundi, Gabon, Ghana, the Democratic Republic of the Congo, Madagascar, Morocco, Nigeria, Senegal, Togo and Uganda. The company is interested in attracting partners who have a sufficient level of expertise in the IT market and are ready to provide a full cycle of work on the supply of software solutions in these countries. Priority will be given to IT companies with experience in working with government agencies and large businesses with an annual turnover of over $10 million. My MyOffice sets high requirements for both the business expertise of future partners and the ability to carry out technically complex IT projects. Applications for participation in the partner network are accepted through a special e-mail address - global.sales@myoffice.team
The first level of the distribution channel will be represented by companies that will receive a dedicated master partner status for a country or group of African countries. My MyOffice will actively help such partners in promoting the product in local markets, including training employees of the partner company to work with the product and build business strategies.
When implementing their tasks, the dedicated master partners will form the second level of the channel from among local market players, integrators, resellers and IT solution providers. It is planned to interact according to the classic scheme of supplying licenses to the software market - MyOffice, as a manufacturer of an office platform, develops and improves the product, the master partner is responsible for the implementation of licenses in the region in strict accordance with KPI, and local companies are engaged in direct implementation, technical support and training of personnel on the ground.
As of March 2020, MyOffice products are already in use in African countries. Thus, in 2019, the structure of the Presidential Administration of the Republic of Burundi delivered licenses "MyOffice Professional," and a cooperation agreement was signed with the Democratic Republic of the Congo. Positive examples of MyOffice implementation in key countries in the region will also affect the choice of their neighbors, who are also concerned about privacy issues and the need to control their own data. I am sure they will also be interested in using advanced technologies to collaborate with documents and reduce the cost of creating and supporting IT infrastructure, says Dmitry Komissarov, CEO of MyOffice

2019
Revenue growth to 773 million rubles
The revenue of "New Cloud Technologies" in 2019 increased 5 times, to 773.3 million rubles, the general director of the company Dmitry Komissarov said in March 2020 during an online conference. The number of concluded contracts, according to him, doubled over the same period - from 373 to 640. Komissarov clarified to TAdviser that the company has not yet reached a profit, but expects to do so in 2020.
In 2019, the company sold 244.7 thousand licenses, which is about 4 times more than a year earlier. The main contribution to the growth of financial indicators was made by public sector organizations, mainly large, centrally purchased software. Among them - "Russian Post," Rosgvardia and the Pension Fund. In 2019, 19 clients made up the federal authorities, centrally purchased more than 150 thousand licenses.
However, the licenses of the office suite "MyOffice" were also bought by government agencies in the regions. The company has already arrived in 68 out of 85 regions, says Dmitry Komissarov. The largest number of MyOffice licenses was delivered to the Tula, Volgograd regions, Primorsky Territory, Kursk and Rostov regions.
The general director of New Cloud Technologies said that in 2021 the company expects to cover up to 70% of the 250 largest customers in the public sector in Russia. When asked by TAdviser, he noted that some potential customers are prevented from switching to "MyOffice" by the technical features of other systems related to office programs.
There are a number of things that government agencies need to do. Among them - unloading documents from various systems, and they are often based on imported decisions, Komissarov explained. Upload is based on the use of Microsoft Visual Basic. Technically, it can repeat Visual Basic "New Cloud Technologies," but not licensed: this would be a copyright violation.
Therefore, some customers need processing, we need migration methods from Visual Basic to other scripting languages. We are now actively communicating, including with the Ministry of Digital Development, about how to do this work. This will help everyone who wants to use something different instead of Microsoft Office, says the CEO of New Cloud Technologies. |
Dmitry Komissarov added that there are also customers who "with perseverance worthy of another application," continue to purchase Microsoft. At the same time, about 70% of large enterprises do not use anything other than a text editor, he cited the data.
In addition to expanding the customer pool, in 2019 the company also increased its partner network: the total number of authorized companies that distribute MyOffice solutions, train partners and provide service support services increased by 32.5%, to 1.364 thousand companies. In addition to increasing the number of partners, New Cloud Technologies also worked to improve the quality of the partner network, including through certification.
According to Dmitry Komissarov, New Cloud Technologies has formed an ecosystem that already covers a sufficient number of large companies with which to make joint products.
At the same time, the Russian office software developer plans to grow further not only at the expense of its native market, but also foreign ones. First of all, the company is betting on Africa. An agreement with Congo has already been signed, as well as contracts in Burundi and Cameroon. With the latter, in particular, a contract was signed for the supply of up to 1 million licenses "MyOffice" in education.
In African countries, Russia is well treated, because in Russia it was not a slave owner in African countries and did not have colonies there, says Komissarov. In addition, in Africa, unlike, for example, South America, there is more openness between countries, and entering one of them through the same partner can lead to contracts in several neighboring countries.
Komissarov says Africa's "New Cloud Technologies" begins with deliveries into the realm. formations Microsoft followed the same path, Apple and, he notes. When students using their technology grow up, they continue to use their usual solutions.
In 2019, the number of countries whose citizens installed MyOffice on their own increased 11 times. smartphones If in 2018 the product was known only in Russia,, and Kazakhstan, Belarus then by the Armenia end of 2019 this list expanded at the expense of 38 Sweden countries in the African region.
"New cloud technologies" could not receive 1.9 billion investments from VEB due to the nuances of the regulation of the Central Bank
The New Cloud Technologies company was unable to receive investments from Vnesheconombank (VEB), which it had previously agreed on with a financial institution. This was told by TAdviser in October 2019, the general director of New Cloud Technologies Dmitry Komissarov. We are talking about the amount of 1.9 billion rubles, which, as expected, VEB will allocate companies under a cooperation agreement signed in May 2018.
At the time of signing the agreement, New Cloud Technologies expected that VEB would invest part of the money in exchange for a share in the company, and part would be issued to them in the form of a loan. The investment was needed by "New Cloud Technologies" to refine their products.
Dmitry Komissarov explained to TAdviser that the problem with receiving funds arose due to the peculiarities of the regulatory requirements of the Central Bank.
This is a big problem in the Russian IT market: on the one hand, there are intentions to invest in it, and on the other, there are regulations of the Central Bank that prevent companies from receiving these investments, he says. |
To obtain investments, it is necessary to provide a large pledge, and the company did not have available funds for these purposes. The main asset of New Cloud Technologies is software, but intangible assets cannot be used as collateral in this case, Komissarov explained.
At the same time, in 2019, Kaspersky Lab made investments in the company. According to Komissarov, now for "New Cloud Technologies" this is a priority, strategic investor. It is invested, among other things, in the development of products, and it is planned to create joint products. Although not on the same scale as planned with VEB, Kaspersky Lab has compensated for the company's need for funds, added Dmitry Komissarov
The general director of the developer "MyOffice" also noted that negotiations on investments are periodically conducted with different organizations, but there is no talk of raising funds from any new investors.
According to the Kontur.Fokus database, despite revenue growth since the start of sales in 2015, the company is still unprofitable. So, at the end of 2018, the net loss of New Cloud Technologies amounted to about 259.8 million rubles, and its subsidiaries, the Cloud Technologies Laboratory, amounted to 384.6 million rubles. The company expects even greater growth and profit in 2020, and at the end of 2019 - growth in revenue several times in relation to 2018.
As of October 2019, New Cloud Technologies has a total of more than 200 thousand licenses sold. At the same time, in fact, a much larger number of them are used: in some cases they are provided free of charge. For example, organizations in the sphere formations use about 1 million licenses.
The largest client of New Cloud Technologies is Rosgvardia, which uses a mix of educational, standard licenses and for medical organizations. In total, she purchased 60 thousand licenses in two batches. Another largest client is Russian Post, which purchased software for 30 thousand users. Other significant customers of MyOffice include Russian Railways and Aeroflot. In total, 30-40 departments use this office software, including the Ministry of Digital Development, Rostrud, Rosrezerv, etc.
Kaspersky Lab received 29.5%
The largest co-owner of New Cloud Technologies, Andrei Cheglakov, sold a 29.5% stake in Kaspersky Lab, according to information published in the Kontur. Focus service.
Thus, Cheglakov continues to be the holder of the largest stake in the software manufacturer under the MyOffice brand, and Kaspersky Lab has become the second largest co-owner.
In total, "New Cloud Technologies," as of May 2019, have 12 co-owners. CEO Dmitry Komissarov owns 3% of the company.
Access to Kaspersky Lab technologies will allow MyOffice to add the functions that customers demand to ensure security against viruses and complex threats, as well as protect their data, they are confident in New Cloud Technologies.
Kaspersky Lab has vast experience in developing solutions in the field of computer security, so I am confident in the correct synergistic effect of cooperation. We believe in the product and the chosen product development strategy, and, of course, we hope for the experience and resources of the new shareholder. Also, this deal will give a powerful impetus to the development of our company: it will increase growth rates, attract even more highly qualified specialists to our team, guarantee stability for employees for years to come, - commented Dmitry Komissarov, founder and CEO of New Cloud Technologies |
Alexey Kirsanov left the capital of the company
The lawyer and private investor, Alexey Kirsanov who owned a 5% stake in New Cloud Technologies, withdrew from the capital of the office applications company. "MyOffice" Alexey Kirsanov's share acquired, Andrey Cheglakov thereby increasing his participation in the capital to 77.8%, reported TAdviser on April 25, 2019 in the "new cloud technologies." According to representatives of the company, the sale of the share is caused by the investor's desire to fix profits due to the increase in the value of the share of shares. At the same time, the amount of the transaction in "New Cloud Technologies" was not disclosed.
As explained in the company, the increase in its value is due to a number of internal and external factors. The number of users of MyOffice products in 2018 increased several times, the dynamics is measured in three digits. Customers began to return more often for repeat purchases, the average check and the total number of sales increased. Among the buyers of MyOffice are Russian Railways, VGTRK, Aeroflot, etc., from ministries and departments - Rosgvardia, the Ministry of Transport, the Ministry of Communications, Rostrud and more than 20 other executive bodies. External factors also play a positive role in increasing the value of the share of shares, in particular, the growing program for import substitution of software.
We are grateful to Alexey for the legal expertise and direct participation in the development of the company. Thanks to his efforts, "new cloud technologies" managed to build an effective system of legal protection of software products, "said Andrei Cheglakov. |
Kaspersky Lab buys share in NOT
On April 15, 2019, it became known about the sale of the share of New Cloud Technologies to the antivirus manufacturer Kaspersky Lab.
Kaspersky Lab is part of the capital of New Cloud Technologies. The parties expect to complete the accompanying formalities and close the deal within two months, the press service of Kaspersky Lab told TASS. |
The company noted that the deal is part of Kaspersky Lab's strategy to diversify its business and invest in promising IT areas. At the same time, companies do not disclose either the size of the sold share in NOTH, or the financial component of the agreement.
Market participants interviewed by Vedomosti estimated the NOT at about 3 billion rubles, but noted that this amount is approximate and to clarify it, it is necessary to study the internal processes of the company.
InfowatchPresident Natalya Kasperskaya says that historically Kaspersky Lab rarely invests in other IT companies. In her opinion, the company seeks to obtain more contracts for import substitution of software in government agencies and state-owned companies.[6]
Matthias Warnig and Thomas Handel sold shares in the company
According to SPARK-Interfax, the main owner of the company is ex-vice president of Rostelecom Andrei Cheglakov. On April 10, 2019, its share in NOT increased by 3.15% to 72.8%. On the same day, the company reported a decrease to zero in the shares of its minority shareholders - Matthias Warnig and Thomas Handel. They had 0.9% and 2.25% NOTH, respectively.
Matthias Warnig and Thomas Handel sold shares to record profits, a NOTH spokesman told Vedomosti. According to him, the shares of Warnig and Handel rose in price because the company increased its market share, attracted large customers and accelerated the development of the My Office package. The program for import substitution of software also has a positive effect, indicated in the NOT.
2018
NOTH is not allowed into public procurement due to the lack of domestic competitors
In October 2018, it became known that New Cloud Technologies (NOT) cannot supply their office software to Russian government agencies due to the lack of an alternative.
As the publication explains, Kommersant participation in centralized public procurement requires the presence of at least two products that must not only be in the domestic register, software but also meet the additional requirements introduced in 2017. By October 23, 2018, there was only one such product -. "My Office"
The register also includes products of the companies "Basalt" and "Zircon," but their developers refused to make changes to participate in public procurement, said Dmitry Komissarov, Director General of NOTA.
This is a rather funny story, because it turns out that you cannot buy a Russian product, but you can buy Microsoft Office, to which there are no such requirements. We hope that the Ministry of Telecom and Mass Communications will resolve this issue: for example, it will sponsor a new product, "he told Kommersant. |
The need to create conditions for the formation of at least two leading companies for the development of office software was discussed at a meeting with the deputy head of the Ministry of Telecom and Mass Communications Aleksei Sokolov at the end of September 2018.[7]
Microsoft Office remains the dominant seller of office software in Russia. In 2017, the market share of the American company, according to M.Video, amounted to 89%. Another 10% of the office software market was occupied by Korean Hancom, and all other suppliers, including Russian ones, accounted for about 1%. According to Komissarov, Microsoft accounts for about 85% of the software procurement market, and only about 3% for My Office.
P7-Office claims to compete with My Office, which by October 23, 2018 is under consideration for inclusion in the register and "fully meets" the requirements necessary for admission to public procurement, the company that developed this product told the publication.
The shares of the majority of co-owners of the developer "MyOffice" blurred 2 times
In October 2018, New Cloud Technologies increased its authorized capital by 2 times - from 1 to 2 million rubles. At the same time, the shares of the company's shareholders changed. For the main co-owner Andrei Cheglakov, it increased from 39.3% to 69.7%, while for most other shareholders, shares halved. The exception was Thomas Handel and Vasily Tsuprik, whose shares increased.
Dmitry Komissarov, general director of New Cloud Technologies, calls this "a technical blur of shares for the entry of new shareholders."
As he explained to TAdviser, this was done to highlight the shares of VEB and other investors with whom the company is negotiating. It is planned to do this not by blurring the shares of 15 shareholders, but by transferring them from one, says Komissarov.
VEB's intentions to invest 1.9 billion rubles in New Cloud Technologies in exchange for a stake in the company became known in May 2018. When it is planned to close the transaction, the company could not inform. It is possible that other shareholders will join the company before VEB.
Lawsuit from Axoft JSC
On September 20, 2018, the Moscow Arbitration Court considered the case on the claim of Axoft JSC and adopted the following decision: "Recover from LLC" New Cloud Technologies "in favor of JSC" Axoft "under license agreement No. 2104-2016L dated April 21, 2016 an unspent advance payment in the amount of 138 771 030 rubles. 35 kopecks, interest for the use of other people's money in the amount of 42,635,022 rubles. 86 kopecks, interest for the use of other people's money accrued in the amount of 138,771,030 rubles. 35 kopecks for the period from September 01, 2018 to the day of actual payment based on the rate 18% per annum, as well as expenses for the payment of state duty in the amount of 200,000 rubles. 1.9 billion rubles from Vnesheconombank
The Russian developer of office software "New Cloud Technologies" attracts 1.9 billion rubles. from Vnesheconombank (VEB). This was reported to Vedomosti[8] with reference to the general director of New Cloud Technologies Dmitry Komissarov and a representative of VEB.
VEB invests part of the money in the company in exchange for a share (less than the control), part will be issued in the form of a loan, says Komissarov: now the transaction is still structured and will be completed in a few months.
The company's money will be needed to refine the products. Over the past year and a half, the company has begun more than 100 pilot projects in state and private corporations, authorities, which have requested new functionality from the company's products, Komissarov explains.
It is assumed that VEB will also purchase the company's software, a bank representative said.
The company is developing the "My Office" package, which is a platform for joint editing of documents and cloud storage of files, as well as a set of office services: editors of text documents, spreadsheets, presentations and an email service. The main hopes of "New Cloud Technologies" are associated with the state course on IT import substitution, the idea of which is formulated in the so-called register of domestic software. His list limits free software purchases by government agencies and some state-owned companies.
In 2015, 40% of the company was acquired by the former vice president of Rostelecom Andrei Cheglakov and subsequently increased its share. In the history of the company there was another shareholder with such a position - Alexey Basov, but he sold his stake.
The company had a few more powerful shareholders last year. In September, Thomas Handel acquired 1.6% of the company. From 2012 to 2016, he served as vice president of Rosneft, and before Hendel headed the Russian-German Energy Agency. In November, the company was co-owned by another German, Matthias Warnig, a former GDR intelligence official and longtime acquaintance of Vladimir Putin.
New shareholder - Alexander Timchenko
In February 2018, according to the Unified State Register of Legal Entities, New Cloud Technologies had another shareholder, Alexander Timchenko. He acquired his stake from the main shareholder of the company - Andrei Cheglakov.
Business is actively developing, new investors are coming to development prospects on the eve of large projects. Last year, we officially spoke about our intention to attract additional funding, these plans are being fully implemented, TAdviser said in New Cloud Technologies. |
From February 2012 to June 2017, Timchenko worked as the general director of the Industry Center for the Introduction of New Technology and Technologies (CAA). The company is 43.43% owned by Russian Railways , which were its own main customer.
In 2016 and 2017, according to the Kontur.Fokus database, the volume of contracts with Russian Railways at the CAA decreased sharply. In 2017, the parties entered into only one agreement - to support automated locomotive management systems of Russian Railways in the amount of about 105 million rubles.
2017
Revenue reduction
According to the results of 2017, the revenue of New Cloud Technologies amounted to 24.8 million rubles against 196.2 million a year earlier (-87%). The loss increased to 259.3 million rubles.
The subsidiary of New Cloud Technologies - the Cloud Technologist Laboratory - in 2017 was able to receive revenue in the amount of 362.9 million rubles against 7.8 million a year earlier. The loss of this company amounted to 223.5 million rubles.
The new shareholder is a close friend of Vladimir Putin
Matthias Warnig, a close friend of Russian President Vladimir Putin and one of the highest paid independent foreign directors in Russia, has since November 2017 become a co-owner of New Cloud Technologies with a 1.8% stake. Information about this is contained in the database Kontur.Focus, "which draws data from the Unified State Register of Legal Entities.
A source in New Cloud Technologies explained to TAdviser that the company needs additional investment for development.
Varnig met Vladimir Putin in 1991, when, as an employee of Dresdner Bank, he was opening a representative office in St. Petersburg. Putin then worked as chairman of the committee on external relations of the mayor's office, which was in charge of permits to open offices of foreign companies.
According to information published by Forbes in 2014, Varnig meets with the President of Russia much more often than heads of state and government. If the latter sometimes have to wait months for a reception, then Varnig regularly visits the Kremlin. Sources To Moscow in said Putin and Warnig see each other about once every three weeks[9] Stasi[9]
As of 2017, Varnig holds the position of executive director of Nord Gazprom Stream 2 AG's subsidiary, and is also a member of the board of directors of Transneft, the supervisory board of Bank VTB, is deputy chairman of the board of directors of Rosneft, chairman of the board of directors of the United Company, as well RUSAL as a member of the administrative boards of GAZPROM Schweiz AG () Switzerland and Gas Project Development Central Asia AG.
New shareholder - former vice president of Rosneft Thomas Handel
In September 2017, according to the Unified State Register of Legal Entities, New Cloud Technologies had a new minority shareholder, Thomas Hendel. He owns a 1.6% stake in the company.
New Cloud Technologies told TAdviser that Thomas Hendel acquired a small stake in the company from the main shareholder Andrei Cheglakov and declined to comment further.
Since 2012, Thomas Handel has worked at Rosneft as director of the material and technical resources department. In 2016, before leaving the company, he appeared in Rosneft's messages as a business manager with the rank of vice president.
In July 2017, as indicated in the Unified State Register of Legal Entities, Handel established MTV Consulting, in which he owns a 30% stake. In total, the company has 18 different types of activities, including consulting, software development, data processing, provision of information placement services, etc. The general director of this company was appointed the namesake of Andrei Cheglakov - Philip Cheglakov.
As of September, one of the shareholders of MTV Consulting is Vasily Tsuprik, who, like Hendel, is a minority shareholder in New Cloud Technologies. At MTV Consulting, he also owns a 30% stake.
Attracting a financial investor
In August 2017, Vasily Tsuprik became a co-owner of New Cloud Technologies. In exchange for financial investments, the volume of which was not disclosed, he acquired a 1.6% stake from the main shareholder Andrei Cheglakov.
Tsuprik and Cheglakov have known each other since 2004 from their work at Goznak, where Cheglakov was deputy general director and Tsuprik was a leading specialist in the strategic development department.
Then Tsuprik headed the concern "Sign" - the manufacturer of state registration plates for vehicles, and then his career was associated with the state corporation "Rostec."
For a short time, Tsuprik served as general director of RT-Biotechprom, and also served on the boards of directors of a number of enterprises (including the head of the boards of the Metalist plant and the Research Institute of Rubber and Polymer Products).
In the spring of 2015, the media cited an estimate of the cost of 40% in New Cloud Technologies at 480 million rubles. Based on it, the cost of 1.6% would be 19 million rubles.
But over the past 2.5 years, New Cloud Technologies has released a line of products and were able to receive several orders, showing revenue of 308 million rubles at the end of 2016.
One of TAdviser's interviewees says the company's valuation, made in 2015, can now be multiplied by 10. In this case, the cost of 1.6% may already be 190 million rubles.
New Cloud Technologies funds are needed for the further development of products and platforms, the company says.
Since the end of 2016, the developer has been trying to live in self-sufficiency, financing its activities from earned funds. But this does not always work out, sources familiar with the situation in the company explain to TAdviser.
In particular, a number of tenders that New Cloud Technologies was counting on in the summer of 2017 were postponed to the end of the year. At the same time, 460 employees need to pay salaries. Hence the need for new investments, according to the interlocutors of TAdviser.
The new shareholder is Interkop
According to the Unified State Register of Legal Entities, in May 2017, New Cloud Technologies had a new co-founder, Interkop. This was preceded by the withdrawal from the co-founders of Viktor Savyuk.

Joint Document Management Solution Plan with Codex Consortium
The company "New Cloud Technologies," the developer of software products "MyOffice," and Kodeks Consortium, the developer of the electronic workflow system "Code: Document Management," signed an agreement on technological partnership. Companies create a joint solution based on the electronic document management system (EDMS) and the editors of MyOffice.
The product is aimed at government organizations and companies with state participation. For a joint solution, the developers set a special price: its cost will be 20% more profitable. It is planned that the complex product will appear on the market in early 2017. By using collaboration technologies, it will be possible to reduce the time for preparation and approval of documents at enterprises of any scale.
