The volume of nationalization in Russia tripled over the year and exceeded 854 billion rubles

According to court decisions states , 24 private assets worth $11.03 billion (over 854 billion) were transferred to income rubles , while 2024 enterprises worth $3.89 billion were nationalized in 10. This follows from the report of the AK&M agency on transactions in the Russian M&A market, published on February 12, 2026.

The share of such transactions in the total volume of the market M&A increased from 7.2% to 27.6%. In total, in 2025, 399 transactions were made for $41.12 billion (minus 20% in number and 24.6% in value year-on-year).

The largest transactions of the year were recognized: the transfer to the Federal Property Management Agency of the assets of the "crab king" Oleg Kahn ($4.3 billion), the seizure of 67.85% of the Yuzhuralzoloto group from Konstantin Strukov (about $2 billion) and the purchase of the Semrush platform for $1.9 billion.

The volume of nationalized assets in Russia tripled over the year, exceeding 854 billion rubles

The AK&M agency distinguishes two categories of nationalization: with a fixed amount of reimbursement (taken into account in M&A statistics) and without such. In 2025, 9 cases of seizure were recorded without assessing the damage, the total loss of owners was estimated at $3.8 billion (9.3% of the volume of transactions).

Among them - the transfer to the state of the developer of the "World of Tanks" GC "Lesta" (estimated at $1.7 billion), warehouse assets Raven Russia ($919.2 million) and grain GC "Native Fields" ($867.3 million). The total volume of nationalization (including cases without assessment) reached $14.9 billion - 36% of the entire M&A market.

Lawyers interviewed by RBC identify three groups of grounds for seizures: corruption crimes (assets of Yuzhuralzolot), violations of law No. 57 on foreign investments in strategic enterprises (Dmitry Kamenshchik's Domodedovo airport) and accusations of extremism (Lesta Group of Companies).

The head of the Supreme Court, former Prosecutor General Igor Krasnov, in an interview with RBC, stressed that the supervisory authority does not conduct an audit of privatization, but reacts to established facts of corruption, illegal withdrawal of assets and deliberate bankruptcy.

Other trends in 2025 include the dominance of state-owned companies: 55 transactions worth $16.87 billion (40.8% of the market). The volume of their purchases increased by 46.5%, the average value of the transaction reached a maximum from 2021 ($306.6 million). Private business volumes decreased by 44.2%.

At the same time, the trend of using closed mutual funds (ZPIFs) for intercompany shifts has subsided and the activity of foreigners has sharply decreased: 22 transactions for $924 million against 58 transactions for $3.38 billion in 2024.[1][2]

The volume of nationalization of assets in Russia for the year increased 4.5 times and reached 4.3 trillion rubles

In 2025, the volume of nationalization of private assets in Russia increased 4.5 times compared to 2024. The total value of assets seized in favor of the state since 2022 reached 4.3 trillion rubles. The data was published on January 5, 2026 in Forbes magazine, which investigated litigation on the claims of the Prosecutor General's Office of the Russian Federation.

According to estimates by the NSP law firm (Nektorov, Savelyev and Partners), in 2025 assets worth more than 3.1 trillion rubles were seized from former owners. For 2024, the same figure amounted to about 690 billion rubles.

The volume of nationalization of assets in Russia for the year reached 4.3 trillion rubles

From the publication of the publication it follows that since 2022, the Prosecutor General's Office has initiated 71 such proceedings in 28 regions of the country. The record holder for the total value of nationalized assets was the Moscow region. The largest number of trials was held in the Primorsky Territory.

In 2025, three Russian billionaires lost their business as a result of such lawsuits: Dmitry Kamenshchik lost Domodedovo Airport; Denis Shtengelov lost the KDV Group holding (Shtengelov, together with his father Nikolai, was recognized by the Tver Court of Moscow as an "extremist association"); Konstantin Strukov lost the Yuzhuralzoloto group of companies.

Experts from the NSP Law Office systematized five main types of claims used by the Prosecutor General's Office:

  1. Anti-corruption lawsuits against government officials. The reason is the accusation of using his official position for personal enrichment. All property of the defendant is subject to seizure.
  2. Lawsuits to abolish illegal privatization of the 1990s-2000s. The prosecutor's office proves that the transactions were carried out by regional authorities without the necessary consent of federal authorities.
  3. Seizure of assets recognized as strategic for defense and security from persons associated with foreign countries. The criterion is the presence of foreign citizenship or residence permit.
  4. Lawsuits to recognize a businessman as an extremist and seize his property as a material base of extremist activity.
  5. Seize assets to pay off debts to the state, for example, on taxes.[3]

Moscow "Quarter Maryino" nationalized

Nationalization of assets by 3.9 trillion rubles. in three years

The total amount of assets seized or transferred to the management of the Russian state for three years (by the end of June 2025) reached about 3.9 trillion rubles. This is equivalent to the federal budget expenditures for the month, or 2% of the GDP of the Russian Federation. The document says that law enforcement agencies are actively restoring the rights of the Russian Federation to assets "lost beyond will," protecting the country's national security and public interests. Within the framework of this work, an analysis is carried out of the legality of the ownership of property by former deputies or other persons holding positions of power, the correctness of privatization, and the existence of the right to own property by foreign persons. In addition, terrorists and extremists are identified, whose property is transferred to the state.

For three years, the Russian Government nationalized assets worth 3.9 trillion rubles.

By the end of June 2025, the total value of assets seized over three years under the law on strategic societies amounted to 1.539 trillion rubles. Among such facilities were seaports, fishing and mining enterprises, a pulp and paper mill, etc. About 1.07 trillion rubles fell on assets nationalized on corruption grounds.

Another reason for the seizure of property was illegal privatization: assets worth 385.4 billion rubles were seized in such cases. According to the claims of the General Prosecutor's Office on the recognition of individuals or associations of individuals as extremist, assets worth 181.8 billion rubles were nationalized. The amount of assets seized in defense of the public interests of the Russian Federation (loss resulting from ineffective management and control) amounted to 621.5 billion rubles. In addition, 47.8 billion rubles fell on claims for the collection of dividends and (or) losses associated with seized enterprises.[4]

The bailiffs turned into Russian revenue shares and 100% shares of five alcohol companies that belonged to Ukrainian businessmen who financed the Armed Forces of Ukraine. Oilfield service group Borets nationalized

State corporations in Russia will be obliged to return to the budget 50% of the value of nationalized assets

The Russian government has initiated amendments to the Budget Code aimed at implementing the "quasi-privatization" mechanism for assets transferred to state corporations after their return to state ownership by a court decision. According to the proposed amendments, from 2025, state corporations will be required to transfer 50% of the market value of assets obtained as a result of nationalization to the federal budget. This became known on September 30, 2024. The new mechanism of "quasi-privatization" will make it possible to ensure budget revenues even in the event of a formal gratuitous transfer of nationalized assets to the balance of state corporations.

According to Interfax, bill No. 727327-8, submitted to the State Duma of Russia as part of the budget package, provides for a new procedure for transferring assets to state corporations. If the government decides to donate to a state corporation or company assets received by federal ownership on the basis of court decisions, the recipient will be obliged to transfer funds to the budget in the amount of 50% of the market value of these assets.

Russian state corporations are obliged to return to the budget 50% of the value of nationalized assets

The initiative is aimed at protecting the interests of the state treasury and is being implemented in pursuance of the instructions of the President of Russia dated March 15, 2024 No. Pr-494. The market value of the transferred asset will be determined based on the report of the independent appraiser. State corporations will have to make a payment within three months from the date of receipt of the asset in ownership.

The head of the Ministry of Finance Anton Siluanov previously noted that the sale of assets that passed into the ownership of the state by a court decision in 2023-2024 could become a significant source of budget replenishment. According to his estimates, annual revenues from the sale of such assets can amount to at least ₽100 billion.[5]

In Russia, 84 cases were carried out on the nationalization of companies from 2022

Since 2022, 84 cases related to the nationalization of business have been initiated in Russia. This is evidenced by the results of a study by the law firm Nektorov, Saveliev & Partners (NSP), published on August 12, 2024.

According to NSP, in 85% of cases, owners have already lost the right to assets or control over the business. In 72 cases, out of 84 assets were seized from owners, while in 10 disputes the fight to keep the business going continues. In two more cases, court hearings took place, but the final decisions have not yet been made public.

Authorities use eight legal instruments to seize assets. The most common category was deprivation, covering 28 disputes. As part of this procedure, the legality of ownership of assets previously owned by the state is challenged.

The second largest category is the seizure of corruption assets, including 17 cases. The Prosecutor General's Office of Russia uses the opportunity to recover property received by civil servants and their loved ones through corruption, based on law No. 230 and Article 235 of the Civil Code of Russia.

The nationalization of companies directly affected 12 cases. Four of them ended with the forced sale of their assets by foreigners, and eight with decisions to seize property, most often due to the recognition of foreign owners as members of criminal and extremist communities.

Nine cases are related to the transfer of assets of foreign companies under the temporary management of the Federal Property Management Agency in accordance with presidential decree No. 302. In three cases, the reason for the seizure of assets was forced liquidation or bankruptcy.

According to the Prosecutor General of Russia Igor Krasnov, by June 2024, more than 100 enterprises estimated at ₽1,3 trillion were turned into state revenue under the claims of the department. At the same time, Krasnov stressed that "there is no revision of the results of privatization in Russia," and the work of the department does not concern the bona fide owners of privatized enterprises.[6]
