Decision to leave the London Exchange

MICL's offer under the acquisition program will be made to all owners of ordinary shares and GDRs, except USM Holdings (HC SEeM) and Gazprombank Group, as well as MICL.

The Company plans to cancel the listing of GDRs on LSE upon completion of the acquisition program. MegaFon may also consider maintaining or terminating the GDR Program upon cancellation of the listing, including but not limited to the number of GDRs remaining in circulation after the Acquisition Program. At the same time, there is no guarantee that the GDR program will be preserved. Due to the complexity and possible high costs of delisting ordinary shares on the Moscow Exchange, the Board of Directors has not yet decided on such delisting. The acquisition program announced by MegaFon provides securities owners with the opportunity to enter at a premium to current market prices before the delisting of the GDRs, the possible termination of the GDR program, the possible reduction of the listing of ordinary shares from the current First level to the Third level on the Moscow Exchange and the possible delisting of ordinary shares in the future.

On the sale of MegaFon shares to Telia Company

Telia has agreed to sell its 19% stake in MegaFon to Gazprombank. According to a statement[14], this transaction is in line with a strategy aimed at focusing business in the Nordic and Baltic countries.
