History

2025: Bank sale to Exy Bank

The export-import bank acquired a controlling stake in the St. Petersburg bank Orange, becoming the owner of 55.4% of its authorized capital through the purchase of Terra LLC. The transaction actually means the transfer of Orange under the control of MTS, which acquired Exy Bank in 2024. This became known on July 28, 2025.

According to Delovoy Peterburg, according to an extract from the Unified State Register of Legal Entities, Eksi-Bank became the 100% owner of Terra LLC, for which 55.4% of Orange shares were registered. The remaining share of 44.6% remains in the possession of the Mirny closed mutual investment fund.

Exy-bank bought the St. Petersburg bank "Orange"

Earlier, Orange Bank belonged to Stanislav Patenko, a former top manager of Ilim Palm Corporation. According to the Kontur. Focus system, he directly disposed of 44.6% of the bank's shares, and through Terra LLC controlled the remaining 55.4%.

In December 2023, all shares were transferred to the Mirny closed-end mutual investment fund under the management of the Reliable Management management company. As a result of this transaction, the ultimate beneficiary of the bank became non-public.

The management company in May 2024 estimated Orange Bank at ₽500 million, of which the share of Terra LLC was ₽291 million. These estimates were published in the Federal Bankruptcy Resource.

According to the Interfax news agency, Orange Bank ranks 257 out of 309 operating credit institutions in Russia in terms of assets, which amount to ₽2,37 billion. This categorizes it as a small regional bank.

At the end of 2024, Orange Bank received a net profit of ₽98,9 million. However, in the first half of 2025, the credit institution recorded a loss of ₽29,5 million, which indicates a deterioration in financial performance.

In February 2025, Orange Bank changed the registration address of the head office, while reducing the occupied area by ten times. This decision was related to the optimization of operating expenses of the credit institution.[1]

2014: Renaming to Orange Bank

In April 2014, Promservisbank was renamed Orange. First Deputy Chairman of the Bank's Board Valentina Galitskaya said that the bank had previously conducted many focus groups with different categories of clients, and most potential visitors noted that they would be interested in serving in a bank with such an unusual concept.

The Orange business model was divided into three levels. The first is standardized approaches in service, while not "reinventing the wheel," but using the most successful experience in the market.

The second is an individual approach, personalized products, a personal manager.

And the third - where, according to her, "the transaction is organized for the client," that is, this is the level of service for status customers.

"I have not yet faced the tasks on the part of clients that we could not fulfill," emphasizes the first deputy chairman of the board of Orange.
"When we were looking for our way, I went around the banks a lot, I tried to feel like a client and forget what it was like to be a banker," says Ms. Galitskaya. - In departments where there were not even racks, the barrier was felt even without its visualization. And we tried to destroy this barrier with a feeling of comfort - when the client gets into an environment that does not remind him of a bank. And our employees communicate not like bankers[2]
