2026: Reorganization into a joint stock company
Erion (unites non-telecom assets of MTS PJSC), a digital ecosystem, on January 14, 2026 announced the transformation of MTS AdTech legal entity MTS Advertising Technologies LLC (part of Erion) into a joint-stock company (JSC) - MTS Advertising Technologies JSC.
The decision to complete the reorganization was made at a meeting of the company's shareholders in December 2025, an entry on the registration of changes was made to the Unified State Register of Legal Entities in early January 2026. When transformed into a joint stock company, the rights and obligations of the reorganized legal entity in relation to other persons did not change.
The composition of the participants - shareholders in the authorized capital of the reorganized legal entity has not changed. The authorized capital of MTS Advertising Technologies JSC is divided into 902.002 million ordinary shares. ERION holds a 99% stake.
MTS AdTech is one of the fastest growing businesses in the ERION ecosystem portfolio.
AdTech MTS advertising vertical develops advanced AdTech and MarTech products based on Big Data and AI technologies. Among the key solutions: MTS platforms Marketer and Marketer PRO - digital advertising tools for business and agencies with the ability to launch advertising based on Big Data and data from external suppliers. The ERION advertising vertical circuit also includes Buzzoola, a DSP platform and Segmento technologies, a platform for advertising through Getblogger bloggers, its own DSP platform for launching programmatic advertising, an advertising exchange (AdEx) and an SSP platform. Also in the MTS AdTech circuit: MediaScout - advertising data operator, OmniChannel MTS omnichannel marketing platform and MTS Ads Premium Video technology video processor.

Direct delivery of MMS for business together with Magathon
MegaFon and MTS PJSC entered into an agreement on direct technological AdTech partnership between operators. The companies have combined the infrastructure for delivering advertising and information messages to their subscribers. The direct technology stack allows both companies to reduce the costs of maintaining and developing MarTech platforms by up to 12% per year, reduce the number of intermediate links in the MMS supply chain and significantly increase the cybersecurity of communications. The companies were informed about this on September 11, 2025.
The partnership creates the basis for the long-term growth of the MarTech market and the development of omnichannel and cascade communications - from "upper" coverage channels (for example, instant messengers) to more point and conversion (SMS and MMS). With the launch of the direct infrastructure stack, MTS AdTech and MegaFon advertisers were able to send MMS messages to subscribers of the partner operator, which was previously limited by the technical features of integration and reduced the percentage of successful delivery, but now its share is increasing by an average of 30%. This is especially important when communicating with your subscriber base, as it guarantees a higher level of coverage and stability of delivery. MMS dispatch is available to customers of both operators throughout the MarTech & Adtech product line.
