2020

MTS sells NVision Group 28 times cheaper than it bought

On November 2, 2020 , MTS announced the planned sale of a 100% stake in NVision Group to its largest shareholder , AFK Sistema. The company sells to Sistema the assets of NVision Group related to the system integration business, with the exception of those that participate in the formation of the MTS product portfolio. FTS revealed major tax fraud in the Nvision Group during the years of work in the MTS group

In reviewing the reporting provided by all parties to the transaction, it was determined that Versa Networks did not register a representative office in Russia to pay VAT for transactions where the territory of the Russian Federation is recognized. At the same time, Ventanova LLC did not act as a tax agent for calculating VAT from the considered transaction for the purchase of software.

In Russia, the distributors of Versa Networks before the formation of a difficult geopolitical situation were Factor Group LLC, Netwell LLC and CROC system integrator. And the disputed counterparty is not one of the official distributors, nor is it an exclusive (uncontested) supplier of the specified software. On this basis, NVision was prosecuted for committing a tax offense: the company must pay VAT in the amount of 25.3 million rubles, as well as VAT penalties in the amount of 8.6 million rubles. FTS registered NVision Group as an OFD

The system integrator NVision Group, owned by the operator Mobile Television Systems (MTS), received at the end of 2017 permission from the Federal Tax Service ( FTS ) to work as a fiscal data operator (OFD). Rostelecom took revenge: NVision fined 64 million

NVision Group will have to pay Rostelecom over p60 million as a penalty for late delivery of equipment. This follows from the decision of the Arbitration Court of the North Caucasus District, which on May 3, 2017 decided to leave unchanged the decision[2] Arbitration Court of the Krasnodar Territory of November 10, 2016 and the decision of the Fifteenth Arbitration Court of Appeal of January 26, 2017, and the cassation appeal of NVision - without satisfaction[3].

As part of this protracted proceedings, the courts considered both the claim of Rostelecom against its contractor and the counterclaim of NVision - with demands to recover a penalty from the telecom operator for late payment of the supplied equipment. The amount of the first of them after clarifications amounted to p68.1 million, the second (also after clarifications) - p4.2 million. "In the order of netting, recover from JSC 'NVision Group' in favor of PJSC 'Rostelecom' p64.1 million penalty," reads the final court decision.

In public documents of the court there is no specific description of the subject of contractual relations between the two organizations. There is only an indication that the supply of NVision to Rostelecom of unnamed equipment and the provision of certain services to it were spelled out in several dozen contracts with different dates of execution. The editorial office failed to unambiguously identify the problematic contract on the public procurement website.

NVision takes debts from Rostelecom for the 112 project

As CNews learned, Rostelecom will have to pay NVision Group p32.8 million - debt under the contract for p18.2 million and a penalty of p14.6 million. Today, April 3, 2017, the Fifteenth Arbitration Court of Appeal of Rostov-on-Don upheld the earlier decision of the Arbitration Court of the Krasnodar Territory to recover the above amount, and the operator's complaint, without satisfaction[4]

The proceedings concerned a contract concluded on December 23, 2013 between Rostelecom and NVision Group, under which the operator's contractor was to automate the facilities of the first stage of the emergency call system at the single number "112" based on the duty dispatch services of the Krasnodar Territory, including the installation and commissioning of equipment, as well as the transfer of rights to use software.

From the materials of the court it follows that NVision fulfilled its obligations in full - it carried out work for p126.1 million and supplied software for p425 thousand. However, Rostelecom paid the company only p108.3 million, which was the reason for the lawsuit that NVision filed on December 1, 2016.

For the past three years, NVision Group has suffered losses

The revenue of NVision Group began to decline significantly after the management of Rostelecom changed in early 2013: in the first two years it more than halved. The company also carried out work on state contracts for MGTS, the subsidiary of MTS: their total volume in 2015 amounted to about 450 million rubles.

There is no information on how much NVision Group entered into contracts with MTS itself, which bought out the integrator in 2015, in open sources. At the time of the announcement of the upcoming transaction for the purchase of NVision Group[7] is[8] on the market[9]which the company has long received most of the orders from MTS. The annual report of MTS for 2015 stated that the acquisition of NVision Group is part of the operator's long-term strategy aimed at diversifying the business and developing innovations. MTS plans to sell one of the subsidiaries of NVision Group

On November 9, 2015, the media reported on MTS plans to sell part of the NVision Group business, since the subsidiary of the system integrator has a contract with one of the operator's competitors, VimpelCom.

One of the operator's consultants told Vedomosti that MTS intends to sell its stake in the Envision Group company inherited from its parent AFK Sistema. According to him, MTS does not like that the integrator provides services to VimpelCom, which, in turn, is not satisfied with the relationship between NVision Group and the main competitor. While the integrator remained in Sistema, there was no problem in this, the source said.

As a source close to VimpelCom clarified to the publication, we are talking about the company NVision Business Solutions (EBS; 100% subsidiary of NVision Group), which provides the operator with services for connecting clients to a fixed Internet. It is this part of the business that MTS is going to sell, but it is most likely that VimpelCom itself will buy it, but one of its partners.

MTS bought NVision Group

MTS and its controlling shareholder - AFK Sistema - announced in July 2015 a deal to buy and sell the system integrator NVision Group. MTS will pay Sistema up to 15 billion rubles for this company. This amount takes into account the debts of the system integrator for 10 billion rubles, which will be covered by the transaction.

As a result, MTS will become the sole shareholder of NVision Group and all its subsidiaries, including the Russian Sitronics Telecom Solutions and the Czech Nvision Czech Republic. Since this acquisition is an interested party transaction, it was first approved by a special committee of independent directors of MTS, and then by the board of directors of the cellular operator itself.

2014

Net loss of RUB 1.19 billion at the end of the year

AFK Sistema buys 38.75% of shares of ZAO NVision Group

Sistema Telecom Assets, 100% owned by AFK Sistema, signed legally binding agreements in January 2014 to purchase 38.75% of the shares of ZAO NVision Group from RegionCapital CJSC (part of the Marshall Group of Konstantin Malofeev) and other individual shareholders. The total amount of the transaction will be $82.5 million, according to a statement by AFK Sistema[10]

Payment of shares of NVision Group will be made in cash in the amount of $37.5 million and shares of AFK Sistema in the amount of $45 million. After the completion of the transaction (expected before the end of the first quarter of 2014), AFK Sistema will own 88.75% of the shares of NVision Group.

Based on the announced amount of the transaction, the total value of NVision Group (revenue in 2012 - about 59 billion rubles) was estimated at $212.9 million (7.24 billion rubles). For comparison, the capitalization of the IBS group (revenue in 2012 - about 29.9 billion rubles), whose securities are listed on the Frankfurt stock exchange, is 564 million euros (26 billion rubles).

According to Spark-Interfax, Anton Sushkevich and Dmitry Taraba own 22.25% of the shares of Envizhn Management Company. Another 5.5% of the shares of this intermediate company are with Alexei Glotov. Thus, the share in NVision Group, which Sistema intends to buy, coincides with the sum of the shares of Malofeev, Glotov and one of the two remaining founders. Later, it became known that Dmitry Taraba sold his stake.

Smirnov replaces Sushkevich as general director

After the integration was completed, the two founders of NVision - Dmitry Taraba and Alexey Glotov - sold their remaining shares and left the company. The third founder, Anton Sushkevich, who resigned in February 2014 as general director of NVision, remains the owner of 11.25% of the company's shares and retains a seat on its board of directors.

Instead of Sushkevich, AFK Sistema nominee Vyacheslav Smirnov, a member of the board of directors of Sitronics, with whom NVision had previously merged, stood at the head of the integrator.

AFK Sistema became the sole shareholder of NVision Group

At the end of 2014, AFK Sistema became the sole shareholder of NVision Group, having bought 11.25% of the shares from its former general director and one of the founders Anton Sushkevich for $10 million. At the beginning of 2014, such a package was estimated at $24 million. Anton Sushkevich also left the board of directors of NVision Group.

AFK Sistema became the owner of 50% plus 0.5 shares of NVision Group through a subsidiary of OJSC RTI Group in July 2012. During this transaction, the corporation paid money in the amount of 3 billion rubles. and IT assets of the Sitronics group, which became part of the NVision Group. In March 2014, AFK bought another 38.75% stake in NVision Group for $82.5 million. These shares belonged to the founders of the IT company Dmitry Taraba and Alexei Glotov, as well as Region Capital CJSC, part of the Marshall Capital group of Konstantin Malofeev, who bought the block package a few months before the sale. At that time, the entire NVision Group was estimated at $213 million. Based on this estimate, for a package of 11.25%, AFK Sistema could pay Anton Sushkevich about $24 million. Konstantin Malofeev found it difficult to assess the value of NVision Group, since after the sale of its shares, he "ceased to monitor" the activities of the IT company.

In June 2015, it became known that AFK Sistema consolidated 100% of the shares of the system integrator NVision Group, based on the company's estimate of $88 million. Meanwhile, a year ago, Sistema estimated the integrator more than twice as expensive - at $212 million[11].

So, in 2012, the company was estimated at 20 billion rubles ($614 million at the then exchange rate). At the beginning of 2014, NVision Group was valued at $212 million. During the last transaction, the company's valuation amounted to $88 million - that is, over the year, NVision Group fell more than twice.

True, Sistema considers it incorrect to compare the last two transactions with the value of the shares of NVision Group.

"The transaction for the purchase of 11.25% of the shares of the system integrator was the result of agreements between the buyer and the seller, which, among other things, reflect such factors as a change in the economic situation at the end of 2014 compared to the beginning of the year, as well as a small (minority) size of the package, which actually provided only representation on the board of directors of the company and did not give any additional rights," - said the press service of the corporation.

Anchor client: Instead of Rostelecom - MTS

AFK Sistema has already admitted that to some extent it was disappointed in the NVision Group. At the end of 2013, the corporation wrote off losses of $125.7 million, which arose due to a reduction in system integrator orders from the largest customers and a corresponding change in the revenue forecast.

Previously, the main income of NVision Group was provided by the state holding Svyazinvest (later its assets were combined on the basis of Rostelecom): according to the results of 2010, the holding's enterprises provided the integrator with 45% of revenue. Market participants associated this alignment with the personality of Konstantin Malofev, who was then on the boards of directors of Svyazinvest and Rostelecom (although the MCP fund owned by Malofeev became a shareholder of NVision Group only after the entrepreneur left the boards of directors of the aforementioned companies). Malofeev, in turn, was considered a person close to ex-Minister of Communications Igor Shchegolev. After the latter left his post, the reduction of orders for NVision Group by Rostelecom began.

However, after receiving the IT assets of Sitronics, NVision Group has a new largest client - a cellular operator owned by AFK Sistema. MTS If in 2012 orders from MTS brought NVision Group 14 billion rubles (24% of the total revenue), then in 2013 MTS accounted for 38% of the revenue of the system integrator (in absolute terms, the amount of orders almost did not change). According to the results of 2014, the amount of orders from MTS decreased to 10.7 billion rubles, but in percentage terms their share remained the same.

2013

ON Microsoft" from 22.08.2013, author Igor Korolev, referring to a source "familiar with the investigation materials," pointed to the involvement of NVision Group in illegal schemes when purchasing software by a Russian operator of an American developer.

NVision Group is a major partner of Rostelecom and takes part in a number of large-scale operator programs. But cooperation concerns mainly service and infrastructure projects or software supplies of other international developers. NVision Group did not have a single major contract with Rostelecom for the supply of Microsoft products. The operator makes such purchases through other partners. That is, NVision Group could not be involved in what the author of the article is accused of.

In this regard, the information set out in the above article is extremely negative and defamatory for the business reputation of NVision Group, which conducts business activities in strict accordance with the norms of the current legislation of the Russian Federation and considers its business reputation to be one of the conditions for successful relations with Russian and foreign customers.

The company intends in court to seek from the publication the disclosure of the source referred to by the author, confirmation of the fact of unreliability of information, public refutation, as well as material compensation for the damage caused.

Founders of NVision demand compensation from Sistema

In October 2012, several people familiar with the founders of NVision Group told Vedomosti that after the deal with Sistema, the founders of NVision Group conducted an audit of the company. Malofeev acquires 25% in NVision Group

In October 2013, it became known that Konstantin Malofeev became the owner of a 25% stake in NVision Group, his friend told Vedomosti. He bought a 50% stake in the authorized capital of Envizhn Group Management Company LLC from its founders - Dmitry Taraba, Anton Sushkevich and Alexei Glotov; she, in turn, owns 50% minus 0.5 shares of NVision Group (the rest is owned by AFK Sistema Vladimir Yevtushenkov).

Malofeev and the representative of NVision Group confirmed the information about the transaction. According to Malofeev, during this transaction the company was valued no higher than in September 2012, when the assets of NVision Group were merged with those owned by AFK Sitronics and RTI Group. Then the share capital of the company was estimated at 20 billion rubles. Malofeev does not disclose what funds the acquisition was made for, but says that "this is a profitable investment of money," because within three years NVision Group should go public.

After concluding a deal with Sistema, the RTI group controlled by AFK became the owner of 50% plus 0.5 shares of NVision Group. For her share, RTI Group paid the founders of the company with money (3 billion rubles) and assets (two main assets of the IT company Sitronics were included in NVision).

Malofeev has been a large minority shareholder of Rostelecom for several years: now he owns 8.2% of the operator's shares. And NVision Group has also been a major contractor for Rostelecom for several years - the company is building data centers for the operator. The friendship of the two companies began even when Malofeev was the largest minority shareholder of Rostelecom and was a member of the operator's board of directors. And recently, Malofeev acquired another major Rostelecom contractor, Soyuztelefonstroy. This is the main asset of Infra Engineering. Sources in many communications companies and construction contractors have spoken about the fact that Infra Engineering is related to Malofeev's Marshall Capital Partner since the day in 2010, the former general director of Svyazinvest Yevgeny Yurchenko first spoke about this holding in an interview with Vedomosti. AFK Sistema plans to acquire NVision Group

In January 2012, Sistema OJSC, RTI Group OJSC and Envision Group Management Company LLC signed a framework agreement governing the principles of future relations between the parties and defining the terms of the transaction for the strategic integration of assets of RTI OJSC and Envision Group CJSC.

In accordance with the agreements reached, OJSC RTI Group will acquire 50% of the company's shares from the shareholders of ZAO NVision Group. In addition, the shareholders of ZAO NVision Group will exchange the remaining 50% of the company's shares for shares of OJSC RTI Group of an additional issue. Change in the scheme of agreement with AFK Sistema

On July 4, 2012, it became known that in the near future a binding agreement could be signed between the shareholders of NVision Group and the high-tech subsidiary of AFK Sistema, RTI Group.

Regarding plans for the deal announced in January, her scheme has changed. The purchase of NVision is the third attempt by Sistema to conquer the system integration market. In 2000, AFK bought one of the largest integrators - Ankey, but could not keep its key employees. In the summer of 2012, the RTI Group paid for the purchase partially in cash in the amount of 3 billion rubles, partly by adding assets to ZAO NVision Group that were part of the Sitronics and Sitronics Telecommunications Solutions segments (except for INTRACOM TELECOM).

Personnel changes due to the transaction with the "System"

Rostelecom Board of Directors approves purchase of 25% in NVision Group

In April 2010, the Board of Directors of Rostelecom approved a deal to acquire a stake in the NVision group of companies (NVision brand) by participating in an increase in the authorized capital of the EnvIsion Group Management Company.
