Gazprom Neft through the court transfers the joint venture with Shell to Russian jurisdiction

In mid-August 2022, it became known that Gazprom Neft was transferring a joint venture with Shell to Russian jurisdiction through a court. We are talking about the Dutch company Salym Petroleum Development (SPD).

GPN-Salym Projects LLC appealed to the court with a "statement on the transformation of a branch (representative office) of a foreign legal entity into an economic company and the suspension of corporate rights of a foreign investor with demands to transform a branch of Salym Petroleum Development N. V."

The basis for the claim was "the commission of Shell Salym, associated with an unfriendly foreign state, actions that impede the functioning of a foreign legal entity on the territory of the Russian Federation."

Gazprom Neft proposed to create Salym Development LLC with an authorized capital of 8.6 million rubles. and place of registration in the village of Salym. GPN-Salym Projects and Shell Salym Development Bi Vi LLC can become participants in the LLC, while maintaining a share of parity participation in 50% of previous owners.

The plaintiff also asked to suspend until the end of 2023 part of the rights of Shell Salym Development B.V. Speech. In particular, we are talking about the right to demand the redemption of a share in Salym Development LLC and the right to dispose of shares in the authorized capital.

The Russian company accuses Shell of creating obstacles to the functioning of SPD in Russia. It is clarified that we are talking about a public statement by Shell about the suspension of activities in Russia and the restriction of the sale of oil by a subsidiary Shell Trading.

Earlier it was reported that Shell continues to work on concluding an agreement on withdrawal from the Sakhalin-2 project in Russia in accordance with its legal rights.

Since 2003, SPD has been developing the Salym group of oil fields in the Khanty-Mansi Autonomous Okrug.[1]

Shell reported losing control of the company and the resignation of directors

In July 2022, Shell announced the loss of control over the joint venture with Gazprom Neft Salym Petroleum and the resignation of directors from Shell in the joint venture. The changes occurred after the sanctions imposed by the United States and its satellite countries, after the start of Russia's special operation in Ukraine.

2003: Gazprom Neft and Shell create JV

Salym Petroleum Development is a joint venture whose shareholders on a parity basis were Shell and PJSC Gazprom Neft. Since 2003, LDS has been developing the Salym group of oil fields (total recoverable reserves - 140 million tons), which is located in the Khanty-Mansi Autonomous Okrug and includes the West Salym, Verkhnesalym and Vadelypskoye fields. The Salym project is the largest onshore investment project with the participation of foreign capital in the oil industry in Russia.
