2024: Miranda Media bought 51% of Luhansk Telephone Company

Telecommunications operator from Crimea "Miranda media" completed the acquisition of a majority stake in the amount of 51% of the authorized capital of Lugansk Telephone Company LLC (LTK) on November 1, 2024. The acquisition is aimed at comprehensive development of communication services in the region.

According to Kommersant, the ownership structure changed after the transfer of stakes from the previous owners - the head of LTK Yuri Shatsky (50.02%) and Vladimir Shatsky (0.98%). The blocking package of 49% is retained by the RT-Regions structure from the Rostelecom group.

Miranda media acquired a controlling stake (51%) from the Lugansk Telephone Company telecom operator.

Chief Financial Analyst of Regblock Anna Avakimyan presented an estimate of the acquired block of shares within the boundaries of ₽0,9 -1.4 billion, taking into account the favorable financial performance of LTK with a return on capital of more than 30%.

The acquiring party, where 19.99% belongs to the national operator Rostelecom, has deployed an infrastructure of 830 transmission stations, covering more than 80% of the region's population with communication. Financial results of the buyer for 2023 - revenue of ₽4 billion with a negative balance of ₽1,4 billion.

The Lugansk telephone company, established in 2014, demonstrated financial indicators of ₽2 billion in revenue with a positive result of ₽573 million for 2023. The company's assets include shares in Sever enterprises (19.61%) and the ISS regional operator (49%).

The strategic acquisition provides the buyer with fiber-optic communications and an extensive network of representative offices. Asset integration will enable a full range of telecommunications services from mobile to digital broadcasting.

The implementation of the project strengthens its presence in the region where the digital subscriber identification system and mobile Internet access operate. The acquired company has branches in all administrative regions, serving international and long-distance communication channels.

Combining technological resources is aimed at forming a single telecommunications platform of a regional scale. The modernization of the communication infrastructure is a key element of the digital communications development strategy.[1]
