2021: Gazprom-Media became 100% owner of Kvant

On May 19, 2021, Gazprom-Media announced the purchase of 49% of Kvant from Maxima Telecom, thereby becoming the sole owner of an advertising operator in Wi-Fi networks in public transport in Moscow, St. Petersburg and several other cities. The financial terms of the agreement were not disclosed.

Having received 100% of Kvant, the team and all advertising equipment, the rights to platforms and technologies for the sale of personalized advertising in the digital environment, access to the aggregated big data of Kvant will go to Gazprom-Media. At the same time, the entire network infrastructure will remain in Maxima Telecom - it will maintain a partnership with the holding and will provide a platform for advertising projects.

Gazprom Media became the sole owner of Kvant

According to the press service of Gazprom-Media, the consolidation of 100% of Kvant has become a logical strategic step for the holding in the implementation of a digital business development strategy. The deal is expected to allow Gazprom Media to strengthen technological competencies, expertise in AdTech and new marketing technologies, as well as in Digital Signage sales.

Deputy General Director of Gazprom-Media Dmitry Ufaev noted that by May 2021, the holding is actively implementing a digital strategy aimed at creating a personalized environment for the consumer both in terms of content and in terms of showing relevant and personalized advertising. The company needs technological and IT competencies in the field of advertising technologies and AdTech, which will help in the implementation of tasks within the framework of the digital strategy, he said.

Commenting on the sale of Kvant, N + 1 publisher Andrei Konyaev, in a conversation with Kommersant, expressed the opinion that such transactions occur for two reasons: the buyer receives either exclusive access to the site with customers whom no one else can serve, or access[1][2]

2020: Gazprom-Media paid 1.67 billion rubles for 51% in Quantum

On June 26, 2020, it became known that a 51 percent stake in Kvant cost the Gazprom-Media media holding 1.67 billion rubles. This was reported by the Kommersant newspaper with reference to the reports of Maxima Telecom. Thus, the entire business was valued at almost 3.3 billion rubles.

When creating a joint venture between Gazprom-Media and Maxima Telecom, the holding's investments were not disclosed. Co-owner of Maxima Telecom Sergei Aslanyan only said that the funds received would be used to optimize the debt burden, technological development and motivation of employees.

A 51 percent stake in Kvant cost the Gazprom-Media media holding 1.67 billion rubles

Under the terms of the agreement with Gazprom-Media, Maxima Telecom received 60% of the votes on the board of directors of Kvant and control over the financial policy of the joint company. Under the contract, the transaction price can be adjusted when the pre-agreed indicators are reached. In the second half of 2020, they plan to revise the price, but the changes "will not be significant," the report said.

According to the general director of Kvant Artem Pulikov, the company's financial forecasts had to be changed due to the COVID-19 pandemic: Wi-Fi traffic at Gazprom-Media sites increased and decreased in the metro, so Kvant reoriented sales in recent months. However, traffic in the metro has already begun to recover, in June 2020, in relation to May, the number of connections increased 2.6 times.

Gazprom-Media is pleased with the deal "both financially and strategically": the business is profitable, and the mobile advertising market is growing rapidly, Svetlana Balanova, First Deputy General Director of the media holding, told the publication.[3]

2019: Gazprom Media Holding and Maxima Telecom create a joint venture in the field of big data and advertising

Gazprom Media Holding, a diversified media holding in Russia and Eastern Europe, and Maxima Telecom, the operator of the public Wi-Fi space MT FREE, announced on June 21, 2019 the creation of Kvant, a joint venture in the field of advertising technologies and big data.

In the joint venture, the Gazprom-Media holding received 51% of the shares, Maxima Telecom - 49%. He was appointed General Director of Kvant, Artem Pulikov who previously headed the Internet MaximTelecom business. The joint venture will be managed by the board of directors, which will include representatives of the Gazprom-Media holding and Maxima Telecom.
