Growth of 1C practice consultants to 300 people

The number of 1C consultants of the Borlas Group's joint practice has grown significantly over the year and reached 300 employees. The company announced this on July 26, 2024.

1The Borlas Group's practice is represented by two areas: the Center for Digital Transformation (CCT) and Edith Pro. CPT implements projects for the digital transformation of industrial enterprises. Edith Pro works with companies in the energy sector, retail, as well as other industries, where there is a demand for large-scale, functional systems that can withstand high loads.

The development of 1C practice is due to the growing demand for solutions of the domestic vendor in the segment of large holdings, as well as companies managing critical infrastructure. Softline disclosed the terms of acquiring a stake in Borlas and assessing the benefits of this transaction

In the consolidated financial statements published in early April 2024, Softline disclosed the terms of the transaction, in which it had previously acquired 50.1% of shares in the authorized capital of Borlas (Borlas API LLC). So, in July 2023, the company entered into a sale and purchase agreement for the acquisition of this share in exchange for a deferred refund in the amount of 1.626 billion rubles.

As a result of the transaction, Softline received 50.1% shares in the authorized capital of Borlas API LLC, Borlas LLC, Borlas Security Systems LLC, Borlas Group LLC, Borlas Engineering Center LLC. Softline Group has entered into call options agreements (entitling the buyer to purchase the asset at a pre-agreed price at a certain point in time) and put options (a fixed-term contract giving the buyer the right to sell the assets at a pre-agreed price at a predetermined time) for 44.9% of the share capital of these companies. Non-controlling interest is accounted for at 5%.

Softline expects benefits from Borlas expertise, expanding customer base and practice in 1C implementation

Change in the development strategy towards import substitution

2017: Partnerships

In September 2017, Borlas became an Oracle Cloud Managed Service Provider partner and is developing its own services for Oracle Cloud. 2014: Creation of a design and technological center (CTC)

2007-2011: Merger with IBS Group

2011: Leaving the IBS group

In 1996, the management of Borlas decided to rely on the then unknown supplier of business applications in the Russian market - Oracle. It was this year that Alexei Ananyin's company introduced Oracle Applicatons for the first time in Russia. Having relied on monovendorism and the creation of a deep examination of the products of one supplier, Borlas did not fail.

Having put on Oracle, Ananyin really did not lose. During this period, Borlas has the largest team of Oracle E-Business Suite consultants and great authority in this area. However, was the bet made so random and so risky? Recall that the main competitor of the American Oracle is the German concern SAP. At the same time, at the time of the "fateful decision," Borlas was an American company without five minutes, tried to actively engage in IT projects, and, again, according to Mr. Ananyin, Borlas Sales Corp. in the United States also worked in this area.

Unfortunately, it was not possible to find out if "this area" was an implementation of Oracle E-Business Suite, however, the choice of an American partner for further work in the Russian market, taking into account the fact that that the "new Russian" Borlas only "budged" from the American Borlas Sales Corp., was quite possibly predefined by certain developments in cooperation of the latter with Oracle, which, at a minimum, allowed Borlas to move not entirely blindly, presenting Oracle E-Business Suite solutions in our country. This is confirmed by the above words of Mr. Ananyin about the constant orientation towards the "big brother." Mr. Ananyina (2006), in which he notes literally the following: "We really and now cooperate in many areas of our business with new companies that are owned by the founders of Borlas Sales Corp. Including Oracle technologies. "

Working closely with major US companies opens the door to long US money, which is known to never be "badly spent." As you know, the introduction of Oracle E-Business Suite in the Federal Treasury of Russia was credited by the World Bank - one of the largest sources of those very American money. Even if you reject all the financial benefits of the World Bank from this contract, it is doubtful that the specified organization would allocate tens of millions of dollars for the implementation of the products of the German supplier. A number of experts, by the way, as one of the reasons for choosing the Oracle solution (the struggle was between SAP and Oracle) during the heated discussion of the giant contract, it was the origin of Oracle and the main creditor of the project that was mentioned.

In fairness, it is worth noting the fact that some market players close to the specified competition, in a private conversation, reported extremely high pressure from SAP, whose interests often resorted to far from civilized methods of competition. As one of today's executors of this project points out, SAP managed to avoid a big scandal only exclusively on time to the point in the tender. The official position of the Treasury: Oracle's offer turned out to be profitable in a number of parameters, including cost.

Whether the "American past" of the "Russian Borlas" was a stepping stone that allowed, together with competent management, to become the largest supplier of the American ERP system in our country is an open question. Be that as it may, the reputation of Borlas during this period is one of the most impeccable in the Russian IT market, there is no public information about "failed projects." Only on a number of industry forums can you find criticism regarding the implementation of Oracle E-Business Suite in Sarmat, as well as skepticism about the own development of Borlas - the AS + system and distrust of the full deployment of Oracle E-Business Suite in commercial operation in MMK, due to the enormous complexity of this project. However, without relevant facts, these discussions are only messages in the forum. In addition, this project was audited by Oracle, according to the results of which it received its high-profile title.

According to the data provided by the company itself, as of August 2006, Borlas had 42 ERP projects in its portfolio, of which about 80% were Oracle E-Business Suite implementation projects. The remaining 20% falls on the Borlas Retail subsidiary (Borlas Information Trading Systems CJSC), which specializes in automating trading enterprises, offering them an accounting system of its own design, which with a certain share of convention can be called "ERP for small business."

In Russia, Borlas has only one representative office - the Borlas Urals branch created in 2005. Since 1999, there have also been branches in Ukraine, Kazakhstan (Eltal-Borlas Consulting) and Belarus (Belsoft-Borlas Group).

In November 2005, Borlas CU and Oracle CIS signed an agreement granting Borlas CU rights to provide First Line Support services to users of Oracle E-Business Suite integrated applications in Russia, Ukraine and Kazakhstan. To implement this agreement, the Oracle Technical Support Center (TTC) was opened in the Borlas group, the first and so far the only one in Russia who acts as the first contact for users and is looking for solutions to technical problems during the operation of the Oracle E-Business Suite.

1993-1996: From the American Borlas Sales to the Russian Borlas AI

The American company Borlas Sales Corp. began work in Russia and the CIS countries in 1989. One of the directories of American companies indicates that Borlas Sales Corp. is a private company headquartered in New Jersey. According to representatives of Borlas, in the early 90s, this company specialized in the supply of various equipment to the Russian market: computer and medical equipment, as well as software. Be that as it may, in 1991 an American company decided to enter the Russian IT market just beginning to form, offering customers all kinds of "box" solutions.

In 1993, the Russian representative office of Borlas Sales Corp. (nothing is known about the activities of the central office from public sources) decides to switch from the supply of "boxed" software to design solutions. Alexey Ananyin, commercial director of Annsi-Inteks, is invited to the post of head of the representative office in the same year. Mr. Ananyin was not an accidental person for Borlas Sales Corp.: Annecy-Intex, specializing in custom software development, actively collaborated with an American company.

In 1996, the Russian company Borlas Info Business Consulting was formed on the basis of the representative office, which later became the parent company in the Borlas group of companies. Details of the devolution were not disclosed. As Mr. Ananyin noted in a commentary to TAdviser, "Borlas Sales Corp. was indeed engaged in the production of computers and audio and video equipment, but it ceased to exist in the mid-90s. Then, in 1996, a representative office in Russia was closed and the Russian company Borlas Ai-BBC was organized. At the same time, in an interview, Mr. Ananyin noted that KG Borlas and Borlas Sales Corp. continue "close and fruitful cooperation, perceiving our American partner as an older brother, more experienced in many aspects of the business." If you believe the data of the mentioned American reference book (there is no other public information about Borlas Sales Corp.), then it is not entirely clear how you can perceive the supplier of video and audio equipment as an older brother during the large-scale implementation of ERP systems - the main area of ​ ​ activity of Borlas KG.
